Advertising Contracts. Section 2(s) of the Disclosure Schedule lists all arrangements for the sale of air time or advertising on the Stations in excess of $1000, and the amount to be paid to the Seller therefor. The Seller has no reason to believe and has not received a notice or indication of the intention of any of the advertisers or third parties to material contracts of the Seller to cease doing business or to reduce in any material respect the business transacted with the Seller or to terminate or modify any agreements with the Seller (whether as a result of consummation of the transactions contemplated hereby or otherwise).

No party to any Advertising Contract has indicated to the Company within the past year that it will stop or decrease the rate of advertising.

This information is correct and complete, fairly represents the financial condition of the Seller on such dates and the results of operations for the periods designated therein, and are consistent with the books and records of the Seller (which books and records are correct and complete). The Seller has no reason to believe and has not received a notice or indication of the intention of any of the advertisers or third parties to material contracts of the Seller to cease doing business or to reduce in any material respect the business transacted with the Seller or to terminate or modify any agreements with the Seller (whether as a result of consummation of the transactions contemplated hereby or otherwise), although Seller cannot and does not guarantee the amount of future advertising on the Station.
