Common use of Advise of Changes Clause in Contracts

Advise of Changes. Parent will promptly advise Company in writing of any (a) event occurring subsequent to the Agreement Date that would render any representation or warranty of Parent or Sub contained in this Agreement, if made on or as of the date of such event or the Closing Date, untrue or inaccurate, (b) breach of any covenant or obligation of Parent or Sub pursuant to this Agreement, any Parent Ancillary Agreement or any Sub Ancillary Agreement, or (c) Material Adverse Change in Parent.

Parent Company will promptly advise Company Parent in writing of any (a) event occurring subsequent to the Agreement Date that would in any material respect render any representation or warranty of Parent or Sub Company contained in this Agreement, if made on or as of the date of such event or the Closing Date, untrue or inaccurate, (b) breach of of, in any material respect, any covenant or obligation of Parent or Sub Company pursuant to this Agreement, any Parent Ancillary Agreement or any Sub Company Ancillary Agreement, or (c) Material Adverse Change in ParentCompany.
