Common use of Affiliate Ordering Clause in Contracts

Affiliate Ordering. Jitterbit and a Client Affiliate may mutually agree to execute an Order Form under which a Client Affiliate may acquire Professional Services, Support Services or Jitterbit Applications from Jitterbit. An executed Order Form between Jitterbit and Client Affiliate will constitute a separate contract between the relevant Client Affiliate and Jitterbit incorporating all the terms and conditions of this Agreement, except that the term “Client” will be construed to refer to the Client Affiliate. Any Client Affiliate directly purchasing Professional Services, Support Services or Jitterbit Applications will be solely responsible for payment, will be entitled to all of the rights and benefits afforded to Client under this Agreement.

Jitterbit and a Client Customer Affiliate may mutually agree to execute an Order Form under which a Client Customer Affiliate may acquire Professional Services, Support Services or Jitterbit Applications Platform from Jitterbit. An executed Order Form between Jitterbit and Client Customer Affiliate will constitute a separate contract between the relevant Client Customer Affiliate and Jitterbit incorporating all the terms and conditions of this Agreement, except that the term “ClientCustomer” will be construed to refer to the Client Customer Affiliate. Any Client Customer Affiliate directly purchasing Professional Services, Support Services or Jitterbit Applications Platform access will be solely responsible for payment, will be entitled to all of the rights and benefits afforded to Client Customer under this Agreement.
