Agency Authority of Manager. The Manager, acting alone, is authorized to endorse checks, drafts and other evidence of indebtedness made payable to the order of the Company.
Agency Authority of Manager. The Manager is authorized to endorse checks, drafts, and other evidences of indebtedness made payable to the order of the Company, and to sign contracts and obligations on behalf of the Company. Notwithstanding the foregoing, during the construction of the Restaurant, the expenditure of the funds set forth on the Construction Budget submitted pursuant to Section 9.11 hereof shall require the signature of the Manager and one representative of the Members other than the Manager.
Agency Authority of Manager. If more than one Manager holds office, then any of them shall be authorized to sign checks, contracts and obligations on behalf of the Company. Any Manager, acting alone, is authorized to endorse checks, drafts and other evidences of indebtedness made payable to the order of the Company, but only for the purpose of deposit into the Company’s accounts.
Agency Authority of Manager. The Manager shall have all authority, rights and powers as a Manager, to the maximum extent authorized and permitted by the Act, to conduct or engage in all matters of ordinary and customary business activity on behalf of the Company.
Agency Authority of Manager. If more than one Manager holds office, then each of them shall be authorized to act for the Company, including to sign checks and to enter into contracts and incur obligations on behalf of the Company.

Subject to Section 5.3, any Manager, acting alone, is authorized to endorse all checks, drafts and other evidences of indebtedness made payable to the order of the Company and to execute all agreements, contracts, commitments, checks, instruments and other documents on behalf of the Company. The Manager shall have the right to delegate in writing any or all of their authority, rights and/or obligations, whether arising hereunder, under the Act or otherwise, to any one or more officers, agents or other duly authorized representatives.

Unless otherwise provided in this Agreement, the Manager, acting alone is authorized to execute and deliver any document, instrument, agreement, check, draft, deed, conveyance, evidence of indebtedness or encumbrance of, or security interest in, any of the Property of the Company. The execution by the Manager of such documents shall bind the Company even if approval of such documents is required by an Approval of a Majority in Interest. The Manager shall be entitled to delegate to officers of the Company the authority to make any decisions, sign any documents or otherwise bind the Company that the Manager is entitled to undertake without the Approval of the Members and that the Manager is entitled to undertake after an action has received the Approval of the Members.
