Agreement Term and Renewal. The term of this Agreement is years (“Initial Term”) beginning on the Effective Date. The Agreement will automatically renew for successive one-year terms (each a “Renewal Term”) at the expiration of the Customer’s Initial Term or any Renewal Term. All terms of this Agreement shall apply to any Renewal Term. Either party to the Agreement may cancel the automatic renewal of the Agreement and terminate the Agreement upon expiration of the then-existing term by providing written notice at least ninety (90) days prior to the end of the applicable term, without incurring an Early Termination Fee. If no written notice is received by either party, the Agreement will automatically renew for a successive Renewal Term.
Agreement Term and Renewal. 3.1 Subject to Clause 3.3, this Agreement shall commence on the Effective Date and unless terminated earlier in accordance with its terms, shall continue until the Expiry Date ("Initial Term"). The Term of this Agreement shall automatically be extended for 1 year (“Renewal Term”) at the end of the Initial Term and at the end of each Renewal Term unless either Party has provided at least 3 months’ prior written notice of its intention to terminate this Agreement, such notice to expire no later than the expiry of the Initial Term or the applicable Renewal Term, as appropriate.
3.2 The Expiry Date is calculated as follows:
a) for the Initial Term: the Expiry Date is the Initial Term Start Date plus the term specified in the Order as applicable. If an Order expressly states it is for a fixed term only or contains only items under ‘One Time Pricing’, the Expiry Date shall be the last day of the fixed term or the last delivery date of the items listed under ‘One Time Pricing’ and a Renewal Term shall not be applicable; and
b) for the Renewal Term: the Expiry Date is the Renewal Term Start Date plus either:
(i) 12 months if the Initial Term or Renewal Term is automatically renewed, as defined in Clause 3.1; or
(ii) the term specified in the Order for the Services being renewed.
3.3 If applicable, each Statement of Work shall commence on its Statement of Work Commencement Date and shall continue, unless previously terminated or renewed according to the terms of the Order, until the expiry date stated in the Order.
Agreement Term and Renewal. The agreement shall be for a one-year period but may be extended on an annual basis at the option of the Village of Oswego in its sole and absolute discretion, for up to two additional years.

b) for the Renewal Term: the Expiry Date is the Renewal Term Start Date plus either:
(i) 12 months if the Initial Term or Renewal Term is automatically renewed, as defined in Clause 3.1; or
(ii) the number of months specified in the Order form or Statement of Work for the Services being renewed.
3.3 If applicable, each Statement of Work shall commence on its Statement of Work Commencement Date and shall continue, unless previously terminated or renewed according to the terms of the Statement of Work, until the expiry date stated in the Statement of Work.
Agreement Term and Renewal. A. The Agreement became effective when it was signed by both parties (the “Effective Date”). The amendments hereby made to the Agreement will be effective as of January 1, 2017. The Agreement will conclude at the end of the third Performance Year (the “Initial Term”) or at the end of a renewal period, unless sooner terminated by either party in accordance with Section XIX.
B. The first Performance Year of the Agreement began on January 1, 2016 (the “Start Date”) and ended on December 31, 2016. Subsequent Performance Years shall each be 12 months in duration, beginning on January 1.
C. CMS may offer to renew the Agreement for a renewal period of an additional two Performance Years. In deciding whether to offer to renew this Agreement, CMS may consider the ACO’s actual spending in relation to the Performance Year Benchmark; the ACO’s quality score performance; the ACO’s history of compliance with the terms of this Agreement and Medicare program requirements; the results of a program integrity screening of the ACO, its Next Generation Participants, and its Next Generation Professionals; the ACO’s ability to repay in full any Shared Losses and Other Monies Owed; and such other criteria CMS deems relevant. If CMS offers to renew this Agreement, CMS shall make a written offer to renew the Agreement at least 60 days before the expiration of the Initial Term. The ACO shall accept or reject such offer in writing by a date and in a manner specified by CMS.

This agreement shall be renewable at the end of the current term for a annual term unless either party gives written notice of its intention not to renew within 30 days before expiration of the current term. This agreement may be amended or modified only by a writing executed by both parties.
