AGREEMENT TO ENTER Sample Clauses

The "Agreement to Enter" clause establishes that the parties intend to formalize a future contract or arrangement, but have not yet entered into a binding agreement regarding the substantive terms. Typically, this clause outlines the parties' mutual understanding to negotiate in good faith or to execute a definitive agreement at a later date, often specifying a timeframe or conditions that must be met before the formal contract is signed. Its core practical function is to clarify that, while discussions are ongoing and intentions are aligned, no enforceable obligations exist until a final agreement is executed, thereby preventing premature legal commitments.
