Common use of Alteration of Duties Clause in Contracts

Alteration of Duties. If the Board of Directors of the Corporation or the Chief Executive Officer, in either of their sole discretion, takes action which substantially changes or alters Xxxxxx’x authority or duties so as to effectively prevent her from performing the duties of the Executive Vice President of Sales and Marketing as defined in this Agreement, or requires that her office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present Corporation office located in Parsippany, New Jersey, then Xxxxxx may, at her option and upon written notice to the Board of Directors within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider herself terminated without cause and entitled to the benefits set forth in Section 7(a), unless within thirty (30) days after delivery of such notice, Xxxxxx’x duties have been restored.

Alteration of Duties. If the Board of Directors of the Corporation or the Chief Executive OfficerOfficer of the Corporation, in either of their sole discretion, takes action which substantially changes or alters Xxxxxx’x Executive’s authority or duties so as to effectively prevent her him from performing the duties of the Executive Vice President of Sales Corporate Strategy and Marketing Business Development as defined in this Agreement, or requires that her his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present Corporation office located in Parsippany, New Jersey, then Xxxxxx Executive may, at her his option and upon written notice to the Board of Directors within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider herself himself terminated without cause and entitled to the benefits set forth in Section Paragraph 7(a), unless within thirty (30) days after delivery of such notice, Xxxxxx’x Executive’s duties have been restored.

If the Board of Directors of the Corporation or the Chief Executive Officer, in either of their sole discretion, takes action which substantially changes or alters Xxxxxx’x Herbes’ authority or duties so as to effectively prevent her him from performing the duties of the Executive Vice President of Sales and Marketing Operations as defined in this Agreement, or requires that her his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present Corporation office located in Parsippany, New Jersey, then Xxxxxx Herbes may, at her his option and upon written notice to the Board of Directors within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider herself himself terminated without cause and entitled to the benefits set forth in Section Paragraph 7(a), unless within thirty (30) days after delivery of such notice, Xxxxxx’x Herbes’ duties have been restored.

If the Board of Directors of the Corporation or the Chief Executive OfficerOfficer of the Corporation, in either of their sole discretion, takes action which substantially changes or alters Xxxxxx’x Sands’ authority or duties so as to effectively prevent her him from performing the duties of the Executive Vice President of Sales and Marketing Snacks as defined in this Agreement, or requires that her his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present Corporation office located in Parsippany, New Jersey, then Xxxxxx Sands may, at her his option and upon written notice to the Board of Directors within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider herself himself terminated without cause and entitled to the benefits set forth in Section Paragraph 7(a), unless within thirty (30) days after delivery of such notice, Xxxxxx’x Sands’ duties have been restored.

If the Board of Directors of the Corporation or the Chief Executive OfficerOfficer of the Corporation, in either of their sole discretion, takes action which substantially changes or alters Xxxxxx’x Executive’s authority or duties so as to effectively prevent her him from performing the duties of the Executive Vice President of Sales and Marketing Chief Commercial Officer as defined in this Agreement, or requires that her his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present corporate headquarters of the Corporation office located in Parsippany, New Jersey, then Xxxxxx Executive may, at her his option and upon written notice to the Board of Directors within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider herself himself terminated without cause and entitled to the benefits set forth in Section 7(aParagraph 8(a), unless within thirty (30) days after delivery of such notice, Xxxxxx’x Executive’s duties have been restored.

If the Board of Directors of the Corporation or the Chief Executive Officer, in either of their sole discretion, takes action which substantially changes or alters Xxxxxx’x authority or duties so as to effectively prevent her him from performing the duties of the Executive Vice President of Sales President, General Counsel and Marketing Secretary as defined in this Agreement, or requires that her his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present Corporation office located in Parsippany, New Jersey, then Xxxxxx may, at her his option and upon written notice to the Board of Directors within thirty (30) days after the Board’s or Chief Executive Officer’s action, consider herself himself terminated without cause and entitled to the benefits set forth in Section 7(a), unless within thirty (30) days after delivery of such notice, Xxxxxx’x duties have been restored.

If the Board of Directors of the Corporation or the Chief Executive OfficerOfficer of the Corporation, in either of their sole discretion, takes action which substantially changes or alters Xxxxxx’x Xxxxx'x authority or duties so as to effectively prevent her him from performing the duties of the Executive Vice President of Sales and Marketing Club Channel as defined in this Agreement, or requires that her his office be located at and/or principal duties be performed at a location more than forty-five (45) miles from the present Corporation office located in Parsippany, New Jersey, then Xxxxxx Xxxxx may, at her his option and upon written notice to the Board of Directors within thirty (30) days after the Board’s 's or Chief Executive Officer’s 's action, consider herself himself terminated without cause and entitled to the benefits set forth in Section Paragraph 7(a), unless within thirty (30) days after delivery of such notice, Xxxxxx’x Xxxxx'x duties have been restored.
