AMENDED AND RESTATED LICENSE AGREEMENT. Concurrently with the execution of this Amended and Restated Research Agreement, Codexis and Shell shall enter into the Amended and Restated License Agreement substantially in the form attached hereto as Schedule C, appended to and made part of this Amended and Restated Research Agreement.
AMENDED AND RESTATED LICENSE AGREEMENT. This Amended and Restated License Agreement (the “Agreement”), dated December 10, 2010 (the “Amendment Effective Date”) is made by and between GlaxoSmithKline LLC, formerly known as SmithKline Bxxxxxx Corporation (“GSK”), a Delaware limited liability company, and Unigene Laboratories, Inc. (“Unigene”), a Delaware corporation (each a “Party” and collectively, the “Parties”).
AMENDED AND RESTATED LICENSE AGREEMENT. SatCon and the Company shall have executed and delivered the Amended and Restated License Agreement.
AMENDED AND RESTATED LICENSE AGREEMENT. Each of the parties shall execute and deliver the Amended and Restated License Agreement in the form attached hereto as Exhibit A;
AMENDED AND RESTATED LICENSE AGREEMENT. This Amendment No. 1 to Amended and Restated License Agreement (this “Amendment”) is made as of December 13, 2022 (the “Amendment Effective Date”), by and between NET Power, LLC, a Delaware limited liability company (“NP”), and 8 Rivers Capital, LLC, a Delaware limited liability company (“8 Rivers”).
AMENDED AND RESTATED LICENSE AGREEMENT. THIS AMENDED AND RESTATED LICENSE AGREEMENT (the “Agreement”) dated the 13th day of November, 2006 (the “Effective Date”), is made by and between Kyosei Pharmaceutical Co., Ltd. (“KYOSEI”), a Japanese corporation having its principal place of business at 0-00-00 Xxxxxxx, Xxxxx, Xxxxxxxx, 000-0000, Xxxxx and IMCOR Pharmaceutical Co. (“IMCOR”), a Nevada corporation having its principal place of business at X.X. Xxx 0000, Xx Xxxxx, Xxxxxxxxxx 00000, Xxxxxx Xxxxxx of America. (collectively the “Parties” and each the “Party”)
AMENDED AND RESTATED LICENSE AGREEMENT. 1.1 The Parties shall amend and restate the License Agreements (the “Amended and Restated License Agreement”) to ensure that the Amended and Restated License Agreement is consistent with the License Agreements as further clarified by this Third Amendment. To the extent that there is a question of the intention of the Parties when drafting the Amended and Restated License Agreement, the intention of the Parties as determined with reference to this Third Amendment shall govern.
1.2 The Amended and Restated License Agreement shall amend Section 3.1 (dealing with the consideration of the License granted), such that the Licensee agrees to make payments to UHN according to new Schedule “C” attached hereto as Appendix “A” (“New Schedule “C””).
1.3 The Amended and Restated License Agreement shall define the Technology to be “the invention(s) described in and/or listed in Amended Schedule “A” and all Intellectual Property Rights therein”, regardless of ownership, on the basis that the Parties recognize that of primary relevance to the intention of the Parties is the consideration as outlined in New Schedule “C”.
1.4 The Amended and Restated License Agreement shall clarify that the Buyout Option applies when UHN assigns all interests pursuant to New Schedule “C” and any residual ownership interests in the Technology (as newly defined in Section 1.3).
1.5 The Amended and Restated License Agreement shall clarify that the Licensee will not challenge the validity of any Intellectual Property Rights in the Technology (as newly defined in Section 1.3).
AMENDED AND RESTATED LICENSE AGREEMENT. UHN shall assign to AMF its ownership rights in the Applications in the assignment document attached hereto as Appendix “B” (the “Assignment”) and shall further assign all other ownership rights in and to any Intellectual Property Rights in the Technology (as newly defined in Section 1.3) required to give effect to the intention of the Parties as outlined in this Third Amendment.
AMENDED AND RESTATED LICENSE AGREEMENT. Camber Spine and the Company shall concurrent with the Closing execute and deliver the Amended and Restated License Agreement;
AMENDED AND RESTATED LICENSE AGREEMENT. Concurrent with the execution of this Agreement, LiPlasome, Allarity ApS, and Chosa have entered into the (i) 2022 Amended and Restated License Agreement and (ii) the Parties have agreed to effectuate the actions as set out in Clauses 5.
