Amendment Expenses. All expenses, including, but not limited to, reasonable attorneys' fees, incurred by Bank in the preparation and implementation of this Amendment constitute Bank Expenses and as such are payable by Borrower.
Amendment Expenses. The Company shall, within three (3) Business Days of demand, reimburse the Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writing) reasonably incurred by the Agent in connection with the negotiation, preparation, printing, execution, and completion of this Agreement and all documents, matters and things referred to in, or incidental to, this Agreement.
Amendment Expenses. The Owners and the Parent shall pay, and shall be liable for, all reasonable out-of-pocket costs and expenses of the Owner Trustee, the Owner Trust, the Trust Company, the Investor Participant, the Agent, the Collateral Trustee or the Lenders incurred in connection with the amendment, modification, administration and enforcement (whether through negotiations, legal proceedings or otherwise) of this Agreement and the other Operative Documents, including, without limitation, the fees and expenses of the counsel referred to in paragraph (a) of this Section 8.2. 8.3
Amendment Expenses. The Company shall reimburse (a) EMG for all of its reasonable, out-of-pocket fees, costs and expenses directly related to the negotiation and execution of this Amended and Restated Limited Liability Company Agreement up to ** and (b) MWE Operating Company for all of its reasonable, out-of-pocket fees, costs and expenses directly related to the negotiation and execution of this Amended and Restated Limited Liability Company Agreement up to **.
Amendment Expenses. The Company shall pay or reimburse, promptly on demand, all costs and expenses incurred by the Purchasers in connection with this Amendment, including without limitation attorneys’ fees and disbursements.
Amendment Expenses. The Borrower shall have paid all expenses incurred by Lender in connection with this Agreement, including any attorneys' fees, title insurance indorsement fees, recording fees, inspection fees, and other related costs and expenses.
Amendment Expenses. The Company will pay when billed the fees, expenses, costs and disbursements (including, without limitation, the reasonable fees and the disbursements of your attorneys, accountants and other expert, legal and financial advisers) relating to the consideration, evaluation, analysis, assessment, negotiation, preparation and/or execution of any amendments, waivers or consents pursuant to the provisions hereof, whether in the ordinary course of performance of the Note Purchase Agreements or in connection with any controversy or potential controversy thereunder or resulting from any work-out, restructuring or other similar proceedings relating to such performance and whether or not any such amendments, waivers or consents are executed or otherwise consummated.
Amendment Expenses. The Borrower shall promptly pay to the Administrative Agent all outstanding reasonable fees and expenses incurred by the Administrative Agent in connection with this Amendment.
Amendment Expenses. The Administrative Agent shall have received this Amendment executed by the Borrower, the Administrative Agent and the Required Lenders, and Administrative Agent shall have received payment of the expenses as provided in Section 2.14 above.
Amendment Expenses. Payment by the Borrowers of all reasonable out-of-pocket expenses of the Administrative Agent in connection with the preparation, execution and delivery of this First Amendment, including without limitation, the reasonable fees and disbursements of counsel for the Administrative Agent.
