Amendment to Section 5.2 of the Credit Agreement. Section 5.2 of the Credit Agreement is hereby amended by adding the following immediately after clause (b) of such section:

The following language is hereby added to the end of Section 5.2 of the Credit Agreement: It is acknowledged that pursuant to the May 2006 Letter Order the Borrower shall be required to make filings with the FERC as required under 18 C.F.R. § 34.10 and § 131.43.
