Amendments to Pledge and Security Agreement. Upon the terms and subject to the conditions of this Agreement, the Pledge and Security Agreement is hereby amended as follows:

Amendments to Pledge and Security Agreement. Effective as of the Second Forbearance Effective Date, the following provisions of the Pledge and Security Agreement shall be amended as set forth below.

Amendments to Pledge and Security Agreement. The definition of “Excluded Property” in Section 2 to the Pledge and Security Agreement is hereby amended to include the Equity Interests issued by NewCo, subject to the Exclusion Conditions.

Amendments to Pledge and Security Agreement. (a) Effective as of the First Amendment Forbearance Effective Date, Schedule 4.5 to the Pledge and Security Agreement is hereby amended by inserting two new rows in the form attached hereto as Exhibit A at the end of the table set forth in Part I therein (which amendment is in addition to those contained in the Forbearance Agreement and the Second Forbearance Agreement, which shall remain in full force and effect except as expressly modified herein).

Amendments to Pledge and Security Agreement. The Pledge and Security Agreement is hereby amended as follows: 1. Each of the references to and description of the Credit Agreement in the introductory paragraphs of the Pledge and Security Agreement are hereby updated to mean the Credit Agreement as amended by this Agreement on the Restatement Effective Date. 2. Each of the references to and description of the Pledge and Security Agreement in the introductory paragraphs of the Pledge and Security Agreement are hereby updated to mean the Pledge and Security Agreement as amended by this Agreement on the Restatement Effective Date. 3. The existing schedules to the Pledge and Security Agreement are hereby replaced in their entirety with the schedules attached hereto as Exhibit B. 4. Notice information for the Collateral Agent is hereby updated to read as follows: Barclays Bank PLC 000 Xxxxxxx Xxxxxx Xxx Xxxx, XX 00000 Attention: Xxxxxx Xxxxx Telecopier: 000-000-0000.

Amendments to Pledge and Security Agreement. 3.1 Amendment to Section 1.1. Section 1.1 of the Pledge and Security Agreement is hereby amended by adding the following definition in appropriate alphabetical sequence:

Amendments to Pledge and Security Agreement. As of the Effective Date: (a) The cover page of the Pledge and Security Agreement is hereby amended by replacing the words “CANADIAN IMPERIAL BANK OF COMMERCE” with “XXXXXX COMMERCIAL PAPER, INC.”. (b) The preamble to the Pledge and Security Agreement is hereby amended by replacing the words “Canadian Imperial Bank of Commerce (“CIBC”), as agent” with the words “Xxxxxx Commercial Paper Inc. (“LCPI”), as agent”. (c) Section 1.1(c) (Definitions) of the Pledge and Security Agreement is hereby amended by inserting the following definitions in such Section 1.01 in the appropriate place to preserve the alphabetical order of the definitions in such Section 1.01 (and the following definitions shall replace in their entirety existing definitions for the corresponding terms in such Section 1.01):

The following defined terms are hereby deleted in their entirety from Section 1.1(b) of Pledge and Security Agreement: “Copyrights”, “Copyright Security Agreement”, “Intellectual Property Collateral”, “Intellectual Property Licenses”, “Patents”, “Patent Security Agreement”, “Trademarks” and “Trademark Security Agreement”, and all references to Copyrights, Copyright Security Agreement, Intellectual Property Collateral, Intellectual Property Licenses, Patents, Patent Security Agreement, Trademarks and Trademark Security Agreement are hereby deleted from the Pledge and Security Agreement.
