Patent Security Agreement. By executing and delivering this Assumption Agreement, the Additional Grantor, as provided in Section 9 of the Patent Security Agreement, hereby becomes a party to the Patent Security Agreement as a Grantor thereunder with the same force and effect as if originally named therein as a Grantor and, without limiting the generality of the foregoing, hereby expressly assumes all obligations and liabilities of a Grantor thereunder.
Patent Security Agreement. This Patent Security Agreement, as amended and in effect from time to time.
Patent Security Agreement. That certain Patent Collateral Assignment and Security Agreement, executed and delivered on the Effective Date, among the Borrowers, the Guarantors, each of their respective Subsidiaries and the Administrative Agent, in form and substance satisfactory to the Administrative Agent and any other patent security agreement or joinder or supplement thereto that may be entered into after the Effective Date with respect to a Subsidiary of a Borrower or a Guarantor formed or acquired after the Effective Date, each as amended, supplemented or otherwise modified from time to time.
Patent Security Agreement. The Patent Security Agreement attached hereto as Exhibit B is hereby incorporated in the Credit Agreement as Exhibit P.
Patent Security Agreement. A Patent Security Agreement in the form of Exhibit B attached hereto, executed and delivered by Borrower and each Subsidiary, if any, granting a security interest in Patents.
Patent Security Agreement. We have also reviewed unfiled copies of UCC Form-1 Financing Statements naming each New Delaware Credit Party, as debtor, and the Agent, as secured party, copies of which are attached hereto on Exhibit 1 (the “Delaware Financing Statements”) to be filed in the Uniform Commercial Code filing office of the Secretary of State of Delaware (the “Delaware UCC Filing Office”).
Patent Security Agreement. Each Purchaser shall have received an executed Patent Security Agreement with respect to any new Patents developed or otherwise acquired following the Closing Date.
Patent Security Agreement the Patent and Security Agreement executed by Borrowers on or about the Closing Date in favor of Agent for its benefit and the ratable benefit of Lenders, as such Patent and License Agreement has been or will be amended from time to time.
Patent Security Agreement. Any Patent, Trademark and License Security Agreement, executed on or after the closing date of the Credo Acquisition by Credo in favor of Agent as the same may be amended, restated, supplemented, consolidated or otherwise modified from time to time, pursuant to which there shall be granted to Agent for the benefit of Lenders a security interest in the Credo Patents, such security agreement to be in form and substance satisfactory to Agent.
