Amendments to Second Supplemental Indenture. Sections 3.01(B), 3.01 (C), 3.03(A), 3.03(B), 3.03(C), 3.03(D), 3.05, 4.01(B), 4.01(C), 4.03(A), 4.03(B), 4.03(C), 4.03(D) and 4.05 of the Second Supplemental Indenture are hereby amended to provide that the "pro rata portion" of Securities of the applicable Series shall be based upon the ratio of (a) then Outstanding aggregate principal amount of Securities of such Series to (b) then Outstanding aggregate principal amount of the Securities of the Second Series, of the Third Series and of the Fourth Series. Amendments to Second Supplemental Indenture. (a) Section 4.18. Section 4.18 of the Second Supplemental Indenture is hereby amended to read in its entirety as follows:
Amendments to Second Supplemental Indenture hereof, and shall cause to be mailed to all Holders at their last addresses as they shall appear in the register for the Securities, at least 20 days prior to the applicable record or effective date hereinafter specified, a notice (which notice shall also be sent by release to Reuters Economic Services and Bloomberg Business News) stating (x) the date on which a record is to be taken for the purpose of such dividend, distribution, rights or warrants, or, if a record is not to be taken, the date as of which the holders of Common Stock of record to be entitled to such dividend, distribution, rights or warrants are to be determined, or (y) the date on which such reclassification, consolidation, merger or share exchange is expected to become effective, and the date as of which it is expected that holders of Common Stock of record shall be entitled to exchange their shares of Common Stock for securities, cash or other property deliverable upon such reclassification, consolidation, merger or share exchange. Neither the failure to give such notice nor any defect therein shall affect the legality or validity of the proceedings described in clauses (a) through (c) of this Section 2.07. If at the time the Trustee shall not be the conversion agent, a copy of such notice shall also forthwith be filed by the Company with the Trustee. The Company shall cause to be filed at the Corporate Trust Office and each office or agency maintained for the purpose of conversion of Notes pursuant to Section 305 of the Indenture, and shall cause to be provided to all Holders in accordance with Section 106 of the Indenture, notice of any tender offer by Parent or any Parent Subsidiary for all or any portion of the Common Stock at or about the time that such notice of tender offer is provided to the public generally."

  • Scope of Supplemental Indenture The changes, modifications and supplements to the Original Indenture effected by this Supplemental Indenture shall be applicable only with respect to, and shall only govern the terms of (and only the rights of the Holders and the obligations of the Company with respect to), the Notes, which may be issued from time to time, and shall not apply to any other Securities that may be issued under the Original Indenture (or govern the rights of the Holders or the obligations of the Company with respect to any other such Securities) unless a supplemental indenture with respect to such other Securities specifically incorporates such changes, modifications and supplements. The provisions of this Supplemental Indenture shall supersede any corresponding or conflicting provisions in the Original Indenture. If Notes are not authenticated on the Issue Date (as defined in Section 1.02 below), this Supplemental Indenture shall be null and of no effect.
