Amendments Without Lender or Guarantor Approval. (a) Without the consent of the Lender or the Guarantor, the Borrower and the Agent, when authorized and directed by a Borrower Order, at any time and from time to time, may enter into one or more amendments hereto, in form satisfactory to the Agent, for any of the following purposes; provided that (x) the Borrower shall have provided written notice to the Rating Agency, the Lender and the Guarantor five Business Days prior to the execution of any such amendment, (y) the Agent, the Lender and the Guarantor shall have received an Opinion of Counsel that such amendment is permitted under the terms of this Loan Agreement and that all conditions precedent to the execution of such modification have been satisfied and (z) the Agent, the Lender and the Guarantor shall have received a Tax Opinion:
