Common use of AMERICANS WITH DISABILITIES ACT OF 1990 (ADA) Clause in Contracts

AMERICANS WITH DISABILITIES ACT OF 1990 (ADA). Subject to the provisions of the Lease, Landlord agrees and acknowledges that Landlord shall be responsible for compliance with the Title III of the ADA in the common areas of the Building, as defined elsewhere in the Lease. Landlord represents that it has made good faith efforts to bring the common areas into compliance with the requirements of Title III of the ADA. Tenant represents and covenants that Tenant shall be fully responsible for compliance with the ADA of any and all improvements located within the Leased Premises, regardless of who pays for or performs such improvements. Tenant covenants and agrees that any and all future alterations or improvements made by Tenant to the Leased Premises shall comply with ADA. Upon the request of Landlord, Tenant shall provide Landlord with evidence reasonably satisfactory to Landlord that such work was performed in compliance with the ADA. Tenant represents and covenants that Tenant shall conduct its occupancy and use of the Leased Premises in accordance with the ADA (including but not limited to, modifying its policies, practices and procedures, and providing auxiliary aids and services to persons with disabilities). Landlord and Tenant agree to indemnify the other for any costs, claims, damages, losses or expenses (including the costs of consulting and legal fees) arising out of the other's breaching its respective responsibilities for compliance with the ADA as required in this Lease. This Indemnity shall survive the termination of this Lease.
