Common use of Annual Consulting Fee Clause in Contracts

Annual Consulting Fee. The parties acknowledge and agree that the payment obligation regarding Consultant’s annual consulting fee as set forth in Section 1 of Amendment No. 3 to the Consulting Agreement (referenced above) shall be replaced with the following “In consideration of Consultant’s services, for the one (1) year period commencing on the Effective Date of this Amendment (i.e., January 1, 2017), Company shall pay Consultant a consulting fee of Three Hundred Thirty Thousand Dollars ($330,000), which shall be paid on a schedule of Twenty Seven Thousand Five Hundred Dollars ($27,500) per month in arrears.

That is, in consideration of Consultant’s services, for the each one (1) year period commencing on the Effective Date of this Amendment (i.e., January 1, 2017)and continuing for the duration of the term of the Agreement, Company shall pay Consultant a consulting fee of Three Two Hundred Thirty Twenty Five Thousand Dollars ($330,000225,000), which shall be paid on a schedule of Twenty Eighteen Thousand Seven Thousand Five Hundred and Fifty Dollars ($27,50018,750) per month in arrears.
