Current Compensation. The Company shall pay to the Executive in a lump sum in cash within 30 days after the Date of Termination the sum of:
(1) the Executive’s annual base salary as in effect immediately prior to the CIC Date (“Base Salary”) through the Date of Termination to the extent not theretofore paid,
(2) the product of (x) the Executive’s target annual bonus under the Company’s short-term incentive bonus plan for the year in which the Date of Termination occurs (the “Target Bonus”) and (y) a fraction, the numerator of which is the number of days in the current fiscal year of the Division through the Date of Termination, and the denominator of which is 365, and
(3) any accrued vacation pay to the extent not theretofore paid (the sum of the amounts described in clauses (1) and (2) immediately above and this clause (3) shall be hereinafter referred to as the “Accrued Obligations”).
Current Compensation. Employees who are reasonably expected to receive at least $ in Compensation (not to exceed $5,000) for the calendar year; AND
Current Compensation. Current Compensation" shall mean an amount equal to the greater of (A) Employee's highest annual base salary for the year preceding the year in which the termination occurs, or (B) Employee's annual base salary at any time during the year in which the termination occurs.
Current Compensation. “Current Compensation” shall mean an amount equal to the sum of (i) the Base Salary and (ii) the Employee’s annual and quarterly bonuses for the fiscal year preceding the fiscal year in which severance benefits become payable to the Employee pursuant to Section 4(a) or (b) below.
Current Compensation. Current Compensation" shall mean an amount equal to the greater of (i) the Employee's base salary and bonus earned in the fiscal year immediately preceding the current fiscal year; or
Current Compensation. Current Compensation" shall mean an amount equal to the Employee's three-year average annual base salary and three-year average annual bonus over the three preceding fiscal years.
Current Compensation. The Employee’s current base salary, bonus eligibility and performance objectives are reviewed annually by the Committee and Board of Directors, according to the fiscal year calendar, and are stated in the attached Schedule “A”.
Current Compensation. Current Compensation" shall mean an amount equal to the sum of (i) the Employee's average annual (or annualized) base salary over the three preceding fiscal years (or such lesser number of years as may be applicable to the Employee); and (ii) the Employee's average annual (or annualized) bonus over the three preceding fiscal years; provided, however that if there are fewer than three years of actual bonus history, the Employee's average bonus shall be calculated by including the Employee's Target Bonus for the fiscal year in which the termination occurs. For example, if the termination occurs in 1999, average bonus shall be calculated based on actual bonuses earned for 1997 and 1998 and Target Bonus for 1999.
Current Compensation. During the Initial Term and any Renewal Term you will be paid a base salary of $125,000 per year ("Base Salary"), plus a 20% increase for additional year, payable monthly in accordance with the Company's normal payroll practice. In addition to the Base Salary, you will be entitled to receive a bonus of 20% per year to be paid in 12 equal installments PERF GO GREEN INC 000 XXXXX XXXXXX 0XX XX XXX XXXX, XXX XXXX 00000 (the "Current Bonus"), upon receiving first significant purchase order. Any Sales and Override Commissions earned shall be payable ten (10) days following the end of the prior calendar quarter, provided that the Company has received such auction revenue from the client or its agent, as the case may be.
Current Compensation. “Current Compensation” shall mean an amount equal to the greater of (i) Employee’s Base Compensation earned in the fiscal year preceding the fiscal year of Employee’s termination; or (ii) Employee’s Base Compensation for the fiscal year of Employee’s termination, including 100% of any bonus which the Employee could have earned during such fiscal year, assuming the achievement of all relevant Employee and Company goals, milestones and performance criteria.
