Anti-layering Covenant. (a) No Credit Party will incur any Lien that is junior to the Liens created pursuant to the Revolving Loan Documents (other than the Liens securing the Obligations) unless such Lien is also junior to the Liens securing the Obligations.

Anti-layering Covenant. The Company shall not, and will not permit any guarantor of the Company’s Indebtedness to, incur, directly or indirectly, or otherwise become liable for any Indebtedness which is subordinated or junior in right of payment to any other Indebtedness of the Company or any such guarantor (including the Secured Notes (or any refinancing indebtedness in respect thereof) and the guarantees thereof) or secured on a junior lien basis to the Secured Notes (or any refinancing indebtedness in respect thereof) unless such Indebtedness is also subordinated or junior in right of payment to the Notes on substantially identical terms or the Notes are secured on an equal and ratable basis with such junior lien securing such other Indebtedness. No Indebtedness shall be deemed to be subordinated or junior in right of payment to any other Indebtedness solely by virtue of being unsecured.
Anti-layering Covenant. None of Parent or any of its Subsidiaries will incur any Indebtedness that (i) is senior in right of payment (including via any “first-out” collateral proceeds waterfall or similar structure) to the Obligations, (ii) is expressed to be secured by the Collateral on a senior basis to the Obligations (other than Indebtedness permitted pursuant to Section 6.1 that is secured by purchase money Liens); (iii) is expressed to rank or ranks so that the Lien securing such Indebtedness is senior to the Obligations, or (iv) is contractually senior in right of payment to the Obligations.
Anti-layering Covenant. The Company will not incur, and will not permit any Guarantor to incur, any Indebtedness (including Permitted Debt) that is contractually subordinated in right of payment to any other Indebtedness of the Company or such Guarantor unless such Indebtedness is also contractually subordinated in right of payment to the Notes and the applicable Guarantee on substantially identical terms; provided, however, that no Indebtedness will be deemed to be contractually subordinated in right of payment to any other Indebtedness solely by virtue of being unsecured or by virtue of being secured on a junior priority basis. In addition, the Company will not incur, and will not permit any Guarantor to incur, any Indebtedness (including Permitted Debt) that is secured by Liens that are contractually junior to the Liens securing any other Indebtedness of the Company or such Guarantor unless such Liens are also junior to the Liens securing the Notes and the applicable Guarantee.

Anti-layering Covenant. Notwithstanding anything in any Loan Document to the contrary, prior to the Discharge of the Second Lien Obligations (as defined in the Intercreditor Agreement) and unless otherwise agreed by the Required Lenders, the Borrower shall not incur, and shall not permit any other Loan Party to incur any Debt that: (a) is expressed to be secured by the Mortgaged Property on a subordinated basis to the Debt incurred under the First Lien Credit Agreement and on a senior basis to the Indebtedness; (b) is expressed to rank or ranks so that the lien securing such Debt is subordinated to any of the other Senior Secured Debt but is senior to the Indebtedness; (c) is contractually subordinated in right of payment to any of the other Senior Secured Debt and senior in right of payment to the Indebtedness; or (d) is subordinated in right of payment to the Senior Secured Debt while being structurally senior to the Indebtedness, including, in each case, through the creation of any “first-out” or “last-out” tranche in connection with Debt under the First Lien Credit Agreement.

For purposes of this Agreement, (i) the term "Business of the Company" shall include all business activities and ventures related to providing telecommunications services or products in which the Company is engaged, plans to engage in the next twelve (12) months following termination of Employee's employment or has engaged in during the prior twelve (12) months, as determined at any time during the employment of the Employee; and (ii) the term "Restricted Territory" means the geographical area consisting of a seventy mile radius surrounding each city (and including such city) in which the Company maintains either an office or a telecommunications facility.
