Applicable Employee Documentation. As soon as possible following the Effective Date, Buyer shall provide each Active Employee and Designated Service Provider, who, in each case, is not a Key Employee - the Applicable Employee Documentation of Buyer that such person is required to execute as part of the Second Closing. Such Applicable Employee Documentation shall provide for compensation packages and benefits which are, in the aggregate equivalent to the existing compensation packages and benefits of such person with Target or IDT, as applicable.
