Applications for FCC Consent. As promptly as practicable and no later than ten (10) days following the execution of this Agreement, Sellers and Buyer shall jointly file one or more applications with the FCC requesting its consent to the assignment of the FCC Licenses for the Station from Sellers to Buyer (the "Assignment Applications"). Sellers and Buyer shall diligently take, or fully cooperate in the taking of, all necessary and proper steps, and provide any additional information reasonably requested, and use their respective reasonable commercial efforts to resolve and/or overcome objections that may be asserted by the FCC or any third party, in order to obtain promptly the requested consent and approval of the Assignment Applications by the FCC. Notwithstanding anything in this Agreement to the contrary, this SECTION 5.1 shall survive the Closing until the FCC Consent becomes a Final Order. No assignment of the FCC Licenses shall occur without the prior written consent of the FCC.
Applications for FCC Consent. As promptly as practicable after April ---------------------------- 9, 1997, and in no event later than five (5) business days thereafter, Pacific and Southern will file applications with the FCC requesting its written consent to the assignment of the FCC Authorizations for the Stations (and any extension or renewals thereof) to Evergreen. Pacific and Southern will diligently take, or cooperate in the taking of, all steps that are necessary, proper or desirable to expedite the preparation of such applications and their prosecution to a favorable conclusion.

Within three (3) business days following the execution of this Agreement, Seller and Buyer shall jointly filed an application for the Stations with the FCC requesting the consent of the FCC on FCC Form 316 to the assignment of the FCC Licenses for the Stations to Buyer (the "APPLICATION"). Seller and Buyer 18 <PAGE> will diligently take, or fully cooperate in the taking of, all necessary and proper steps, and provide any additional information reasonably requested in order to obtain promptly the requested consents and approvals of the applications by the FCC; provided, however, that none of the parties hereto shall have any obligation to participate in any evidentiary hearing. Sellers and Buyer will diligently take, or fully cooperate in the taking of, all necessary and proper steps, and provide any additional information reasonably requested in order to obtain promptly the requested consents and approvals of the FCC Applications by the FCC.

Within five (5) business days following the execution of this Agreement, the parties hereto shall jointly file applications for the Stations with the FCC requesting consent to the assignment of the FCC Licenses for the Stations as contemplated herein (the "FCC Applications"). Each party hereto will diligently take, or fully cooperate in the taking of, all necessary and proper steps, and provide any additional information reasonably requested in order to obtain promptly the requested consents and approvals of the FCC Applications by the FCC.

(a) As promptly as practicable after ---------------------------- April 9, 1997, and in no event later than five (5) business days thereafter, Evergreen will file applications with the FCC requesting its written consent to the assignment of the FCC Authorizations for the Stations (and any extension or renewals thereof) to Pacific and Southern. (b) In addition, as promptly as practicable after April 9, 1997 and in no event later than June 15, 1997, Evergreen will file applications with the FCC requesting its written consent to the assignment or placement in trust of those station licenses that are necessary or desirable to remove the disqualifying station ownerships reflected in Schedule 5.4 to this Agreement. Evergreen will diligently take, or cooperate ------------ in the taking of, all steps that are necessary, proper or desirable to expedite the preparation of all such applications in (a) and (b) above and their prosecution to favorable conclusions.

As promptly as practicable and no later than five (5) business days following the execution of this Agreement, the Company, Seller and Purchaser shall jointly file one or more applications with the FCC requesting its consent to the transfer of control of the FCC Licenses for the Station from Seller to Purchaser (the "Transfer of Control Applications"). The Company, Seller and Purchaser will diligently take, or fully cooperate in the taking of, all necessary and proper steps, and provide any additional information reasonably requested, and use their respective reasonable commercial efforts to resolve and/or overcome objections that may be asserted by the FCC or any third party, in order to obtain promptly the requested consent and approval of the Transfer of Control Applications by the FCC.
Applications for FCC Consent. Within ten (10) days following the execution of this Agreement, Seller and Buyer (or any direct or indirect wholly-owned subsidiary of Buyer which is a permitted assignee of Buyer under Section 15.6.1) shall jointly file applications for the Stations with the FCC requesting its consent to the assignment of the FCC Licenses for the Stations from Seller to Buyer (the "FCC Applications"). Seller and Buyer will diligently take, or fully cooperate in the taking of, all necessary and proper steps, and provide any additional information reasonably requested in order to obtain promptly the requested consents and approvals of the FCC Applications by the FCC.

Whitxxxxx-Xxxrgia and Buyer have jointly filed an application for the Station with the FCC requesting its consent to the assignment of the FCC Licenses for the Station from Whitxxxxx-Xxxrgia to SKMD. Seller and Buyer will diligently take, or fully cooperate in the taking of, all necessary and proper steps, and provide any additional information reasonably requested in order to obtain promptly the requested consents and approvals of the applications by the FCC; provided, however, that none of the parties hereto shall have any obligation to take any unreasonable steps to satisfy complainants, if any, or to participate in any evidentiary hearing. Each party agrees to comply with any condition imposed on it by the FCC Order unless such condition (a) would have a materially adverse effect on such party's rights or interests hereunder and (b) does not result from events or circumstances that constitute a breach of the representations, warranties and covenants of such party hereunder. Buyer and Seller shall oppose any request for reconsideration or judicial review of the FCC Order. If the Closing shall not have occurred for any reason within the original effective period of the FCC Order, and neither party shall have terminated this Agreement under Section 13.1, the parties shall jointly request an extension of the effective period of the FCC Order. No extension of the FCC Order shall limit the exercise by either party of its rights under Section 13.1.
