APPOINTMENT AND AUTHORITY OF THE AGENT. 2.1 The Name hereby appoints the Agent, and the Agent xxxxxx agrees, to provide the services and perform the duties set out in this Agreement in respect of the Business and the Name’s affairs at Lloyd’s.
APPOINTMENT AND AUTHORITY OF THE AGENT. 1.1 The Owner hereby appoints the Agent as the exclusive managing and leasing agent for the above described property (the “Premises”), and hereby authorizes the Agent to exercise such powers with respect to the Premises as may be necessary for the performance of the Agent’s obligations under Article II, and the Agent accepts such appointment on the terms and conditions hereinafter set forth for a term as provided in Article VII. Agent shall have no right or authority, expressed or implied, to commit or otherwise obligate Owner in any manner whatsoever except to the extent specifically provided in this Agreement. Not later than forty-five (45) days prior to the effective date of this Agreement, Owner shall deliver to Agent such information, documents and certificates regarding the Premises as Agent shall reasonably request, including, but not limited to the following:

Each Lender hereby appoints NatWest Bank N.A. to serve as the Agent for such Person under this Agreement and the Security Documents, and hereby irrevocably authorizes such Person, as Agent, to take such action on its behalf under this Agreement and the Security Documents and to exercise such powers and to perform such duties hereunder and thereunder as are specifically delegated to or required of the Agent by the terms hereof or thereof, together with such other powers as are reasonably incidental thereto, including, without limitation, the right to release Collateral in accordance with Section 2.6(b) hereof.

(a) Each Bank hereby appoints NatWest to serve as the Agent for such Person under this Agreement and the other Loan Documents, and hereby irrevocably authorizes such Person, as such Agent, to take such action on its behalf under this Agreement and the other Loan Documents and to exercise such powers and to perform such duties hereunder and thereunder as are specifically delegated to or required of such Agent by the terms hereof or thereof, together with such other powers as are reasonably incidental thereto. Without limiting the generality of the foregoing, each Bank (i) further appoints NatWest to act as Collateral Agent on its behalf under the Pledge and Security Agreements, and to exercise such powers and perform such duties thereunder as are specifically delegated to or required of the Collateral Agent by the terms thereof, together with such other powers as are reasonably incidental thereto, and (ii) agrees to be bound by all of the provisions of the Pledge and Security Agreements.
APPOINTMENT AND AUTHORITY OF THE AGENT. The Agent's authority under this Agreement shall extend only to the states specifically authorized by the Company and in which the Agent has the appropriate licenses to transact such business with the Company. The Company hereby appoints the Agent as the Company's non-exclusive agent and the Agent acknowledges the Company may appoint other agents to represent the Company or any of its affiliated companies. The Company hereby appoints and provides limited authority to the Agent to solicit and secure applications for the Company and: [X] the Agent is granted binding authority, pursuant to the Company's underwriting guidelines, policies, bulletins, or other documents, which the Company may amend from time to time. The Agent shall have no authority, nor shall Agent represent itself as having any authority, other than as specifically provided for in this Agreement.
APPOINTMENT AND AUTHORITY OF THE AGENT. 1.1 The Owner hereby appoints the Agent as the exclusive managing and leasing agent for the above described property excluding the hotel portion thereof (the "Premises"), and hereby authorizes the Agent to exercise such powers with respect to the Premises as may be necessary for the performance of the Agent's obligations under Article II, and the Agent accepts such appointment on the terms and conditions hereinafter set forth for a term as provided in Article VII. Agent shall have no right or authority, expressed or implied, to commit or otherwise obligate Owner in any manner whatsoever except to the extent specifically provided in this Agreement.

Each Lender hereby appoints National City Bank to serve as the Agent for such Person under this Agreement and the other Loan Documents, and hereby irrevocably authorizes such Person, as the Agent, to take such actions on its behalf under this Agreement and the other Loan Documents and to exercise such powers and to perform such duties hereunder and thereunder as are expressly delegated to the Agent by the terms hereof or thereof, together with such other powers as are reasonably incidental thereto. The Lenders hereby authorize the Agent to execute and deliver the Security Agreement, the Custodian Agreement and the Lockbox Agreement as Agent and agree to be bound by the terms and conditions thereof.
APPOINTMENT AND AUTHORITY OF THE AGENT. 1.1 Owner appoints Agent, effective the date hereof, as the manager and leasing agent for the Property, and authorizes Agent, subject to the approval rights of Owner herein set forth, to exercise such power with respect to the Property as may be necessary for the performance of Agent’s obligations as the manager of the Property in accordance with this Agreement and Agent accepts such appointment on the terms and conditions herein set forth and agrees to perform all of the leasing, management and operational services provided herein.
