Appointment of Borrowers' Agent. The Borrowers appoint the Servicer (but only for so long as Ford Credit is the Servicer, for clause (a) below) as their agent to: (a) determine the amount of each Advance, (b) arrange for payment by the Borrowers of the Secured Obligations, (c) cause the payment of interest on and principal of the Revolving Facility Balance and (d) execute on behalf of the Borrowers and deliver to the Lender, notices, requests or directions under this Agreement. The Borrowers agree that (i) the Borrowers will be bound by actions of the Servicer taken under this Section 2.8, (ii) the Lender, the Collateral Agent and the Administrative Agent are authorized to accept payments, notices, requests or directions from the Servicer on behalf of the Borrowers and (iii) the execution and delivery by the Servicer to the Lender, the Collateral Agent or the Administrative Agent of a notice, request or direction or the taking by the Servicer of any other action described in this Section 2.8 will be conclusive evidence of the Servicer’s authority to execute and deliver any document or take the action on behalf of the Borrowers under this Agreement.
Appointment of Borrowers' Agent. (a) Each Borrower hereby irrevocably appoints CS Delaware as Borrowers' Agent hereunder and CS Delaware hereby irrevocably agrees to act in such capacity as agent for each and all of Borrowers hereunder. Each Borrower further irrevocably authorizes Borrowers' Agent to take such action on such Borrowers' behalf and to exercise such rights and powers hereunder as are delegated to Borrowers' Agent by the terms hereof, together with such rights and powers as are reasonably incidental thereto.
Appointment of Borrowers' Agent. (a) Each Borrower hereby irrevocably appoints Pueblo as Borrowers' Agent hereunder and Pueblo hereby agrees to act in such capacity as agent for such Borrowers hereunder. Each Borrower further irrevocably authorizes Borrowers' Agent to take such action on such Borrowers' behalf and to exercise such rights and powers hereunder as are delegated to Borrowers' Agent by the terms hereof, together with such rights and powers as are reasonably incident al thereto.
Appointment of Borrowers' Agent. Borrowers hereby collectively and ------------------------------- individually appoint Operating Partnership (hereinafter, in its capacity as Borrowers' Agent appointed pursuant to the provisions of this Article III, referred to as "Borrowers' Agent"), as their agent and attorney-in-fact to ---------------- perform on behalf of Borrowers, or any of them, any and all duties or obligations that arise or that may arise under this Agreement or any of the Loan Documents, whether such duties and obligations require performance or payment or otherwise, and to exercise on behalf of Borrowers, or any of them, any and all rights or options of any nature whatsoever that arise or that may arise under this Agreement or any of the Loan Documents. Borrowers and Weeks Corporation acknowledge and agree that any actions, representations, warranties, orders, notices, elections, directions, or otherwise made or carried out by Borrowers' Agent in order to perform the duties or obligations or exercise the rights, of Borrowers, or any of them, under this Agreement or any of the Loan Documents are the duly authorized actions, representations, warranties, orders, notices, elections, directions, or otherwise of Borrowers, or any of them as applicable, that Banks' Agent, Banks and Swing Lenders shall be entitled to rely upon such actions, representations, warranties, orders, notices, elections, directions, or otherwise until cancellation and revocation of this power of attorney, as hereinafter provided, and that Banks' Agent, Banks and Swing Lenders and any and all other parties shall be under no obligation to investigate or to confirm that any actions, representations, warranties, orders, notices, elections, directions, or otherwise made or carried out by Borrowers' Agent are the duly authorized actions, representations, warranties, orders, notices, elections, directions, or otherwise of Borrowers, or any of them, as applicable. In the event Banks' Agent, Banks or Swing Lenders receive any conflicting requests, instructions, demands or notices from Borrowers' Agent and any of Borrowers, Banks' Agent, Banks, or Swing Lenders, as the case may be, shall be entitled to rely on such requests, instructions, demands or notices received from Borrowers' Agent.
Appointment of Borrowers' Agent. (a) Each Borrower hereby irrevocably appoints LFI as agent for such Borrower hereunder and under the other Financing Agreements, to act in such capacity as agent for such Borrower hereunder and LFI hereby accepts such appointment. Each Borrower further irrevocably authorizes LFI as agent for such purposes to take such action on such Borrower's behalf and to exercise such rights and powers hereunder and under the other Financing Agreements as are delegated to LFI in such capacity by the terms hereof and thereof, together with such rights and powers as are reasonably incidental thereto.
Appointment of Borrowers' Agent. Each Borrower hereby appoints the Borrowers' Agent as its agent with authority to deliver or accept a Request on its behalf and otherwise exercise the rights, powers and discretions expressed to be exercisable by the Borrowers' Agent. Each Borrower shall be bound by a Request delivered or the exercise of a right, power or discretion on its behalf even if done without its consent or without reference to it. The identity of the Borrowers' Agent may be changed (with the Facility Agent's consent, which may not be unreasonably withheld) by the execution of such documentation as the Facility Agent may reasonably require.
Appointment of Borrowers' Agent. (a) Each Borrower hereby irrevocably appoints Inyx EU as Borrowers’ Agent hereunder and Inyx EU hereby agrees to act in such capacity as agent for such Borrowers hereunder. Each Borrower further irrevocably authorizes Borrowers’ Agent to take such action on such Borrower’s behalf and to exercise such rights and powers hereunder as are exercisable by any Borrower.
Appointment of Borrowers' Agent. (a) Each Borrower hereby irrevocably appoints TWE as agent for such Borrower hereunder and under the other Financing Agreements, to act in such capacity as agent for such Borrower hereunder and TWE hereby accepts such appointment. Each Borrower further irrevocably authorizes TWE as agent for such purposes to take such action on such Borrower's behalf and to exercise such rights and powers hereunder and under the other Financing Agreements as are delegated to TWE in such capacity by the terms hereof and thereof, together with such rights and powers as are reasonably incidental thereto.
Appointment of Borrowers' Agent. (a) Each Borrower hereby irrevocably appoints Terex as Borrowers' Agent hereunder, and Terex hereby agrees to act in such capacity as agent for such Borrower hereunder. Each Borrower further irrevocably authorizes Borrowers' Agent to take such action on such Borrowers' behalf and to exercise such rights and powers hereunder as are delegated to Borrowers' Agent by the terms hereof, together with such rights and powers as are reasonably incidental thereto.
