Approval of Counsel to the Purchasers. All actions and proceedings hereunder and all documents required to be delivered by Integra hereunder or in connection with the consummation of the transactions contemplated hereby, and all other related matters, shall have been acceptable to Xxxx, Weiss, Rifkind, Xxxxxxx & Xxxxxxxx, counsel to the Purchasers, in their reasonable judgment as to their form and substance.
Approval of Counsel to the Purchasers. All actions and proceedings hereunder and all agreements, schedules, exhibits, certificates, financial information, filings and other documents required to be delivered by any Company or any Subsidiary or hereunder or in connection with the consummation of the transactions contemplated hereby or by the Exchange Agreements, and all other related matters, shall have been in form and substance acceptable to Morrxxxx Xxxex Xxxger & Weinxxxxx, XXP, counsel to WEP and Whitney, in its reasonable judgment (including, without limitation, the opinions of counsel referred to in Section 3.8 hereof).

All actions and proceedings hereunder and all documents required to be delivered by the Company hereunder or in connection with the consummation of the transactions contemplated hereby, and all other related matters, shall have been acceptable to Paul, Xxiss, Rifkind, Wharxxx & Xarrxxxx, xxunsel to the Purchasers, in their reasonable judgment as to their form and substance.

All actions and proceedings hereunder and all agreements, schedules, exhibits, certificates, financial information, filings and other documents required to be delivered by the Issuer Parties or in connection with the consummation of the transactions contemplated hereby, and all other related matters, shall have been in form and substance acceptable to Loeb & Loeb LLP, special counsel to the Purchasers, in its reasonable judgment (including, without limitation, the opinion of counsel referred to in Section 3.6 hereof).

All actions and proceedings hereunder and all agreements, schedules, exhibits, certificates, financial information, filings and other documents required to be delivered by Holdings and each of its Subsidiaries hereunder or in connection with the consummation of the Note Transaction shall be in form and substance reasonably acceptable to Xxxxxxxxxx & Xxxxx LLP, counsel to the Purchasers, in its reasonable judgment (including, without limitation, the opinion of counsel referred to in Section 3.07 hereof).
