Approved Enterprise Status. (i) The Company is in compliance in all material respects with all conditions and requirements stipulated by the instruments of approval granted to it with respect to the “Approved Enterprise” status of any of the facilities of the Company as well as with respect to the other tax benefits received by the Company as set forth under the caption “Israeli Tax Considerations and Government Programsin the Prospectus and by Israeli laws and regulations relating to such “Approved Enterprise” status and the aforementioned other tax benefits received by the Company; (ii) all information supplied by the Company with respect to applications relating to such “Approved Enterprise” status was true, correct and complete in all material respects when supplied to the appropriate authorities; and (iii) the Company has not received any notice of any proceeding or investigation relating to revocation or modification of any “Approved Enterprise” status granted with respect to any of the Company’s facilities, in each case except for any failure to comply, inaccuracy, or notice that would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.

Approved Enterprise Status. The Company is in compliance in all material respects with all conditions and requirements relating to the funding that it has received from the Israeli Ministry of Industry Trade and Labor and has not been notified of any default or acceleration of the repayment of such funding. All information supplied by the Company with respect to applications relating to such funding was true, correct and complete in all material respects when supplied to the appropriate authorities; and (iii) the Company has not received any notice of any proceeding or investigation relating to revocation or modification of such funding, in each case except for any failure to comply, inaccuracy, or notice that would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect. None of the Company's facilities currently receive any tax benefits from “Approved Enterprise”, "Beneficiary Enterprise" or similar status in Israel.

All information supplied by the Company with respect to its applications for “approved enterprise” status is true, correct and complete in all material respects. Neither the Company nor any subsidiary is in violation of any conditions or requirements stipulated by the instruments of approval granted to any of them by the Office of the Chief Scientist in the Ministry of Industry, Commerce & Labor, with respect to any research and development grants given to it by such office, which violation, individually or in the aggregate, could have a material adverse effect on the consolidated financial position, shareholders’ equity, results of operations or business of the Company or any of its subsidiaries, taken as a whole.
