Arrangers/Bookrunners Clause Samples
The Arrangers/Bookrunners clause defines the roles and responsibilities of the financial institutions that coordinate and structure a syndicated loan or debt issuance. Typically, these parties are responsible for organizing the lender group, negotiating terms, and allocating portions of the loan among participants. For example, an arranger may lead the process of marketing the loan to potential lenders, while a bookrunner manages the allocation and record-keeping of commitments. This clause ensures clarity regarding which parties are leading the transaction and helps allocate responsibilities, thereby streamlining the syndication process and reducing confusion among participants.
