ASSIGNABILITY/SUBCONTRACTING. Contractor shall not assign or subcontract any interest or obligation under this contract without the City's prior written approval. All of the services required hereunder will be performed by Contractor and employees of Contractor.

The Professional shall be as fully responsible to the City for the acts and omission of his sub- professionals, and of persons either directly or indirectly employed by them, as he is for the acts and omissions of persons directly employed by him. The Professional shall furnish and cause each of its Sub-Professionals to furnish all information and reports required hereunder and will permit access to its books, records and accounts by the City.
