Common use of Assignment and Appointment Clause in Contracts

Assignment and Appointment. Takeda shall be entitled to assign, novate or otherwise transfer the Agreement in whole or in part to any of its affiliates. Takeda shall be further authorized to appoint third parties for fulfilling its obligations, and for exercising its rights, under this Agreement. The Organisation shall not assign, sub-contract, or otherwise deal with this Agreement or any rights and obligations hereunder without the prior written consent of Takeda. 16.2 Postúpenie a prevod. Takeda je oprávnená postúpiť, obnoviť alebo iným spôsobom previesť túto Zmluvu úplne alebo sčasti na ktorúkoľvek jej Pridruženú spoločnosť. Takeda je ďalej oprávnená ustanoviť tretie strany na plnenie svojich povinností a výkon svojich práv podľa tejto Zmluvy. Organizácia nie je oprávnená nijakým spôsobom postúpiť, zmluvne zaviazať tretiu osobu alebo inak nakladať s touto Zmluvou alebo právami a povinnosťami v nej obsiahnutými bez predchádzajúceho písomného súhlasu spoločnosti Takeda.
