ASSIGNMENT AND SUBCONTRACT. 17.1. If any Affiliate of either Party succeeds to that portion of the business of such Party that is responsible for, or entitled to, any rights, obligations, duties, or other interests under this Agreement, such Affiliate may succeed to those rights, obligations, duties, and interest of such Party under this Agreement. 17.3Port Xxxxxx Refinery. If a Party uses products or services obtained from Motiva is selling the other Party under Port Xxxxxx Refinery, it shall assign this Agreement to serve end user customersthe Third-Party Purchaser, then such Party may not make except that Motiva will continue to be responsible for any sale or transfer payments due to Sunoco for services provided by Sunoco to Motiva prior to the effective date of such end user customer accountsassignment.
(b) Neither Sunoco nor Motiva shall ever transfer, assign, or any facilities used to serve such end user customers, unless the purchaser or transferee has executed a written agreement to assume liability for any outstanding unpaid balances owed to the other Party under encumber this Agreement for such services and products. Notwithstanding any assumption without the prior written consent of liability by the purchaser or transferee, the Party selling or transferring such end user customer accounts, or facilities, shall remain jointly liable for the unpaid balances until the same are satisfied, in full, unless the selling or transferring Party obtains a written release each of liability from the other Party, which release consent shall not be at withheld if the reasonable discretion transferee or assignee is credit-worthy and has the financial, technical and commercial capability to fulfill the transferring Party’s obligations under this Agreement, provided that the transferring Party provides such evidence as the other Party may reasonably request to verify the qualifications of the transferee or assignee. The foregoing shall not apply to the following situations:
(i) Motiva shall have the right to transfer or assign all of its rights under this Agreement to any Affiliate of Motiva or any entity that is successor to all or substantially all of Motiva’s assets, without the prior written consent of Sunoco;
(ii) Subject to Section 25, “First Right of Offer”, Sunoco shall have the right to transfer or assign all of its rights and obligations under this Agreement to any Affiliate, or any entity that is successor to all or substantially all of its assets, without the prior written consent of the other Party.
17.4. (a) If any Affiliate of either Party succeeds Motiva, prior to that portion the expiration of the business of such Party that is responsible for, or entitled to, any rights, obligations, duties, or other interests under this Agreement, such Affiliate may succeed to those rights, obligations, duties, and interest of such Party under this Agreement. In the event of any such succession hereunder, the successor shall expressly undertake in writing to the other Party the performance and liability for those obligations and duties as to which it is succeeding a Party to this Agreement.
17.2. Except as provided in Section 17.1, any assignment Term of this Agreement (and any permitted extension thereof), enters into an agreement with a third-party purchaser other than an Affiliate (a “Third-Party Purchaser”) to purchase the Port Xxxxxx Refinery (but not all or substantially all of Motiva’s assets), Motiva shall notify Sunoco of the obligations agreement and the name and address of the Third-Party Purchaser, no later than ninety (90) days prior to be performed, in whole or in part, or the closing of any other interest the sale of a Party hereunder, without the other Party’s written consent, shall be void. Upon a request by a Party for such consent, the other Party shall not unreasonably withhold or delay such consent, provided however, that reasonable grounds for withholding consent would include, without limitation, the existence of any material default by the requesting Party. For purposes of this paragraph, a Party shall be considered to be in material default if there are any outstanding amounts owed that have not been paid on or before the due date.
17.3Port Xxxxxx Refinery. If a Party uses products or services obtained from Motiva is selling the other Party under Port Xxxxxx Refinery, it shall assign this Agreement to serve end user customersthe Third-Party Purchaser, then such Party may not make except that Motiva will continue to be responsible for any sale or transfer payments due to Sunoco for services provided by Sunoco to Motiva prior to the effective date of such end user customer accountsassignment. (b) Neither Sunoco nor Motiva shall ever transfer, assign, or any facilities used to serve such end user customers, unless the purchaser or transferee has executed a written agreement to assume liability for any outstanding unpaid balances owed to the other Party under encumber this Agreement for such services and products. Notwithstanding any assumption without the prior written consent of liability by the purchaser or transferee, the Party selling or transferring such end user customer accounts, or facilities, shall remain jointly liable for the unpaid balances until the same are satisfied, in full, unless the selling or transferring Party obtains a written release each of liability from the other Party, which release consent shall not be at withheld if the reasonable discretion transferee or assignee is credit-worthy and has the financial, technical and commercial capability to fulfill the transferring Party’s obligations under this Agreement, provided that the transferring Party provides such evidence as the other Party may reasonably request to verify the qualifications of the transferee or assignee. The foregoing shall not apply to the following situations:
(i) Motiva shall have the right to transfer or assign all of its rights under this Agreement to any Affiliate of Motiva or any entity that is successor to all or substantially all of Motiva’s assets, without the prior written consent of Sunoco;
(ii) Subject to Section 25, “First Right of Offer”, Sunoco shall have the right to transfer or assign all of its rights and obligations under this Agreement to any Affiliate, or any entity that is successor to all or substantially all of its assets, without the prior written consent of the other Party.
17.4. If a (c) Upon an assignment or transfer in compliance with Section 24 (b), the transferring Party seeks will cease to transfer only a portion be responsible for the fulfillment of facilities ordered pursuant to its obligations under this Agreement, while retaining other facilities, then such transfer shall be treated as a disconnection and subsequent activation, subject to applicable disconnection and activation charges except for such facilitiesobligations as arose before the effective date of such assignment or transfer.
(d) Motiva shall have the right to subcontract all or any part of this Agreement for all or any part of the Term, including any early termination feesprovided that in such event, if applicableMotiva shall remain obligated to Sunoco for the fulfillment of Motiva’s obligations under this Agreement.

Notwithstanding any assumption of liability by the purchaser or transferee, the Party selling or transferring such end end-user customer accounts, or facilities, accounts shall remain jointly liable for the unpaid balances until the same are satisfied, in full, unless the selling or transferring Party obtains a written release of liability from the other Party, which release shall be at the reasonable discretion of the other Party.
17.4. If a Party seeks to transfer only a portion of facilities ordered pursuant to this Agreement, while retaining other facilities, then such transfer shall be treated as a disconnection and subsequent activation, subject to applicable disconnection and activation charges for such facilities, including any early termination fees, if applicable.
