ASSIGNMENT AND SUBCONTRACT. Subject to a Party’s obligations at law, any assignment to a third party, subcontract or other transfer of a Party’s rights or obligations under this Agreement (the “Assignment”) requires the prior written consent of the other Party. Prior to any such Assignment, the assignee will be obliged to sign an undertaking to comply with all obligations under this Agreement. Any attempted Assignment not complied with in the manner prescribed herein shall be null and void.
