Assignment by Assignee. Item (c) of Section 7.1 of the Original Lease is hereby deleted in its entirety and replaced with the following:
Assignment by Assignee. Assignee shall have the right to assign to any subsequent holder of the Mortgage, or to any person acquiring title to the Property, Assignor's rights, title and interest in any Lease or sublease hereby or hereafter assigned, subject, however, to the provisions of this Assignment. After Assignor shall have been barred and foreclosed of all right, title and interest and equity of redemption in said Property, no assignee of Assignor's interest in said Leases shall be liable to account to Assignor for any rents, income, revenue, issues or profits thereafter accruing.
Assignment by Assignee. Assignee shall have the right to assign Assignor's rights, title and interest in any Contract, Lease, License or Permit, subject to any transfer restrictions contained therein, to any subsequent agent with respect to the Loan Agreement and the Obligations thereunder.
Assignment by Assignee. Assignee may assign its interest in this Assignment to any subsequent holder of the Mortgage or to any party who acquires title to the Premises by foreclosure or pursuant to a deed in lieu thereof. No such party who acquires title to the Premises by foreclosure or deed in lieu thereof shall be liable to account to Assignor for any Income thereafter accruing.
Assignment by Assignee. Assignee may not assign this Agreement or any of the rights and obligations contemplated to herein to any party without the prior written consent of Assignor, which consent shall not be unreasonably withheld. No assignment shall release the Assignee from its obligations imposed by this Agreement.
Assignment by Assignee. Assignee shall have the right to assign, ---------------------- sell, transfer, convey, mortgage or pledge the Net Profits Interest, or any part thereof, subject to the terms and provisions of this Conveyance. However, no such action will affect the method of computing Net Proceeds.
Assignment by Assignee. During the term of the Production Payment, Assignee shall not assign, sell, convey or otherwise transfer Assignee's remaining interests in the Subject Interests or any part thereof unless Assignor expressly consents thereto in writing, and the transferee expressly agrees to assume and perform all of Assignee's obligations under this reservation of Production Payment and such sale, transfer or assignment is made and accepted expressly subject and subordinate to the Production Payment. Any purported assignment, sale, conveyance or other transfer in contravention of the foregoing terms shall be null and void.
Assignment by Assignee. The parties acknowledge that the Assignee may assign and convey the stock, claims and other rights acquired herein to a corporate entity designated by the Assignee with notice to the Assignor. The Assignee agrees that any such assignment shall not diminish, impair or effect in any way the Assignee's undertakings and obligations in this Assignment.
Assignment by Assignee. Assignee has the right to assign the Royalty Interest in whole or in part, but (with respect to the assignee named herein) only as authorized by the San Juan Basin Royalty Trust Indenture xxxerred to above. However, no such assignment will affect the method of computing Net Proceeds, and if more than one Person becomes entitled to participate in the Royalty Interest, Assignor may withhold from such other Person payments to which such Person would otherwise be entitled hereunder and the furnishing of any data or information which Assignor is required by the terms hereof to furnish Assignee until Assignor is furnished a recordable instrument executed by or binding upon all Persons interested in the Royalty Interest designating one Person who is to receive such payments, data and information. In making conveyances or assignments of any of the Subject Interests (to the extent permitted hereunder), Assignee need not vest in its grantee or assignee all of the rights of Assignee hereunder with respect to the interest in the Subject Interests so conveyed or assigned.
Assignment by Assignee. Assignee has the right to assign the Net Profits Interest in whole or in part. However, no such assignment will affect the method of computing Net Income, and if more than one Person becomes entitled to participate in the Net Profits Interest, Assignor may withhold the furnishing of any information provided for in ARTICLE II from such other Person until Assignor is furnished a recordable instrument executed by or binding upon all Persons interested in the Net Profits Interest designating one Person who is to receive such information.
