Assignment by County. The County shall not assign, transfer, or convey its obligations to provide Special Source Credits hereunder to any other Person, except as may be required by South Carolina law.
Assignment by County. This Contract may be assigned in whole or in part by the County, without the further consent of Contractor, to a party which is not a competitor of Contractor, and which agrees in writing to perform the County’s obligations under this Contract.
Assignment by County. The County shall not attempt to assign, transfer, or convey its obligations to provide the Infrastructure Credit hereunder to any other Person.
Assignment by County. COUNTY may sell, transfer, pledge or assign this Agreement, or any of its rights hereunder, to any third party without the consent of XXXXXXXX POWER, provided however that if at the time of such sale, transfer, pledge or assignment, such third party is engaged in the business of generating and selling electricity (or other Covered Products) from Landfill Gas or is otherwise a competitor of XXXXXXXX POWER, the COUNTY shall obtain the prior written consent of XXXXXXXX POWER, which consent shall not be unreasonably withheld or delayed.
Assignment by County. If County sells or otherwise transfers fee simple title to the Premises, the purchaser or transferee thereof shall be deemed to have assumed County’s obligations hereunder which arise on or after the date of sale or transfer, and County shall thereupon be relieved of all liabilities hereunder accruing from and after the date of such transfer, but this Lease shall otherwise remain in full force and effect. If County assigns County’s interest under this Lease without transferring fee simple title to the Premises to the same person, County as holder of fee simple title to the Premises shall remain liable for the performance of fee holder’s obligations under this Lease.
Assignment by County. If County sells or otherwise transfers fee simple title to the Premises, the purchaser or transferee thereof shall expressly assume County’s obligations hereunder which arise on or after the date of sale or transfer, and County shall thereupon be relieved of all liabilities hereunder accruing from and after the date of such transfer, but this Lease shall otherwise remain in full force and effect.
Assignment by County. The County may assign its right to receive the proceeds under this County Note to any person and upon notice to Owner by the County that all payments shall be made to the assignee.
Assignment by County. County may transfer or assign this Contract and its rights and obligations herein to a successor or a purchaser of the Facilities.
Assignment by County. The County hereby fully and forever assigns, transfers, conveys, and relinquishes to the AOC, to the fullest extent assignable and permitted by law, all right, title, and interest of the County in, to, and under the Lease (the “Assignment”).
Assignment by County. The County shall assign or transfer its rights and obligations under this Agreement to any permitted assignee of its interest in the Project Agreement concurrently with the assignment of the Project Agreement to such assignee, and the Agent and the Senior Lenders shall co-operate with the County in completing the formalities of any transfer or assignment including by executing any additional documents as may be reasonably required by the County.
