Assignment by Operation of Law. In the event of an assignment by operation of law which purports to affect this Agreement, LICENSEE shall, not later than thirty (30) days thereafter, give Notice and seek consent thereto from NOA. Such Notice shall disclose the name of the assignee, the effective date and the nature and extent of the assignment. An assignment by operation of law includes, but is not limited to (a) a merger of LICENSEE into another business entity or a merger of another business entity into LICENSEE, (b) the sale, assignment or transfer of all or substantially all of the assets of LICENSEE to a third party, (c) the sale, assignment or transfer to a third party of any of the LICENSEE's intellectual property rights which are used in the development of or are otherwise incorporated into any Licensed Products, or (d) the sale, assignment or transfer of any of LICENSEE's stock resulting in the acquirer having management power over or voting control of LICENSEE. Following the later of (i) an assignment by operation of law, or (ii) receipt of Notice of an assignment by operation of law, NOA shall have the unqualified right for a period of ninety (90) days to immediately terminate this Agreement without further obligation to LICENSEE.

Assignment by Operation of Law. No interest of Tenant in this Lease shall be assignable by operation of law.
Assignment by Operation of Law. The prohibition against Transfer without the consent required by this Part 11 will be construed to include a prohibition against any Transfer by operation of law.

Assignment by Operation of Law. Neither this Lease nor the leasehold estate ofLessee nor any interest ofLessee under this Lease or any Improvements on the Premises shall be subject to involuntary assignment, transfer, or sale, or to assignment, transfer, or sale by operation oflaw in any manner whatever. Any such attempted assignment by operation oflaw, involuntary assignment, transfer, or sale shall be void and ofno effect and shall, at the option ofCounty, tenninate this Lease agreement. Ifany partnership interests ofLessee are transferred or new partnership interests created, by sale, assignment, bequest, inheritance, operation oflaw, or otherwise, so as to result in a change ofthe control, assets, value, ownership, or structure ofthe Lessee, such transfer shall be deemed an assignment for the purposes ofthis paragraph 9 and shall require the County's prior consent. Lessee shall notify the County in advance ofall proposed changes ofownership ofcorporate stock.
Assignment by Operation of Law. The Parties acknowledge, agree and accept that this Agreement qualifies as the transfer of an undertaking under section 7:662-666 of the Dutch Civil Code (Burgerlijk Wetboek) (“DCC”). According to section 7:663 DCC, the following actions will occur by operation of law:
