Assignment by Xxxxxxxxx. The Developer may assign its interest to any entity so long as the City Attorney receives evidence of the assignee’s compliance with Section 2.04 and Section 6.09 at the time of the assignment.
Assignment by Xxxxxxxxx. This Agreement is not assignable, in whole or in part, by XXXXXXXXX without the prior written consent of COMPANY except that: (i) XXXXXXXXX may assign its rights and obligations under this Agreement at any time in connection with the assignment of the PATENT RIGHTS, (ii) XXXXXXXXX may assign its right to receive payment hereunder to any third party, (iii) XXXXXXXXX may assign this Agreement, in whole or in part, to an AFFILIATE and (iv) XXXXXXXXX may assign its rights and obligations under this Agreement to a surviving or acquiring third party entity in connection with the merger, consolidation, or sale of all or substantially all of its assets or that portion of its business to which this Agreement relates (however such transaction is structured), in each case of clauses (i) through (iv) of this Section 10.1, without COMPANY’S prior written consent; provided that any assignee must agree in writing to be bound by the terms and conditions of this Agreement. Any purported assignment by XXXXXXXXX not permitted by this Section 10.1 shall be void and of no effect.
Assignment by Xxxxxxxxx. Xxxxxxxxx hereby assigns to Xxxxx, its successors and assigns, effective for all purposes as of October 1, 1996, all of its right, title and interest in the Right to Purchase.
Assignment by Xxxxxxxxx. Xxxxxxxxx may not assign this Agreement or any part thereof—provided, however, that nothing herein shall preclude one or more beneficiaries of Xxxxxxxxx from receiving any amount that may be payable following the occurrence of his legal incompetency or his death and shall not preclude the legal representative of his estate from receiving such amount or from assigning any right hereunder to the person(s) entitled thereto under his will or, in the case of intestacy, to the person or persons entitled thereto under the laws of intestate succession applicable to his estate.
