ASSIGNMENT OF EASEMENTS. In consideration of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Atmos Energy Corporation, a corporation incorporated in the State of Texas and the Commonwealth of Virginia (“Assignor”), as grantor, with an address of , has granted, sold, conveyed, transferred, and assigned, and by these presents does hereby grant, sell, convey, transfer, and assign unto Liberty Energy (Midstates) Corp., a Missouri corporation (“Assignee”), as grantee, with a mailing address of , , on an AS-IS, WHERE-IS BASIS, WITH ALL FAULTS, without representation or warranty of any kind except as set forth in that certain Asset Purchase Agreement dated as of May 12, 2011, by and between Assignor and Assignee, all of Assignor’s right, title, and interest in and to the Easements (as such term is defined in the Asset Purchase Agreement), including the interests and rights described or set forth on Exhibit A attached hereto and by this reference made a part hereof. This Assignment is being delivered pursuant to the Asset Purchase Agreement and will be construed consistently therewith. This Assignment is not intended to, and does not, in any manner enhance, diminish, or otherwise modify the rights and obligations of Assignor and Assignee under the Asset Purchase Agreement. To the extent that any provision of this Assignment conflicts or is inconsistent with the terms of the Asset Purchase Agreement, the terms of the Asset Purchase Agreement will govern. TO HAVE AND TO HOLD the above-described premises unto Assignee and its successors and assigns, forever.

ASSIGNMENT OF EASEMENTS. Execution and delivery by MLP of an Assignment of Easements and Agreements regarding the STP easement, the golf path encroachment agreements and other easements (the “Assignment of Easements”) in substantially the form attached hereto as Exhibit K.

ASSIGNMENT OF EASEMENTS. The City assigns and the Districts accepts all of the easements held by the City for the use of real property for the water management facilities and the waste water management facilities including but not limited to those easements identified on Exhibit D attached hereto.
ASSIGNMENT OF EASEMENTS. The Parties hereby approve the Assignment of Easements in the form attached to this Agreement as Exhibit E pursuant to which Georgetown shall convey its easement rights in certain Property to Leander and authorize Georgetown’s Mayor (or his designee) to execute the Assignment of Easements simultaneously with the execution of the Xxxx of Sale and Assignment referenced under Section 7.05 of this Agreement.
ASSIGNMENT OF EASEMENTS. Three (3) executed counterparts of an Assignment of Easements and Agreements regarding certain golf cart path encroachment agreements and other easements (the “Assignment of Easements”), substantially in the form attached hereto as Exhibit M.
ASSIGNMENT OF EASEMENTS. On the Closing Date, by separate written instruments) in form for recording, the Seller will assign to Buyer, one or more instruments of sufficient width and scope and with sufficient specificity to show the location of such easements. The form of Assignment of Easements is attached hereto as Exhibit 1.5b.
ASSIGNMENT OF EASEMENTS. Assignor does hereby assign, transfer, and deliver to Assignee, for all purposes at and as of the Effective Date, all of Assignor’s right, title, and interest in and to the Easements, subject to the Permitted Encumbrances set forth on Exhibit B attached hereto and incorporated herein by reference.
