Common use of Assignment Postoupení Clause in Contracts

Assignment Postoupení. Each of CRO and Xxxxxxx shall have the right to assign this Agreement among each other or to any of its respective affiliates and, in addition, Xxxxxxx may assign this Agreement to any third party. In the event of such an assignment, CRO or Xxxxxxx, as the case may be, shall use reasonable efforts to provide prior written notice to Institution. Neither Institution nor Principal Investigator shall assign its rights or duties under this Agreement to another without prior written consent of XXX and Xxxxxxx. Any assignment in violation of this Section 16 will be null and void. Subject to the foregoing, this Agreement shall bind and inure to the benefit of the respective parties and their successors and assigns. Zdravotnické zařízení ani Hlavní zkoušející nejsou oprávněni postupovat svá práva a povinnosti z této Smlouvy na jiné osoby bez předchozího písemného souhlasu CRO a společnosti Xxxxxxx. Postoupení v rozporu s ustanoveními článku 16 bude považováno za neplatné od samého počátku. S přihlédnutím k předchozím ustanovením bude tato Smlouva závazná nejen pro smluvní strany, ale také pro jejich právní nástupce a postupníky a je uzavírána v jejich prospěch.
