Common use of Assignment/Subcontracts Clause in Contracts

Assignment/Subcontracts. Any attempt by Vendor to assign or otherwise transfer any interest in this Agreement without the prior written consent of Delaware shall be void. Such consent shall not be unreasonably withheld. Services specified by this Agreement shall not be subcontracted by Vendor, without prior written approval of Delaware. Approval by Delaware of Vendor’s request to subcontract or acceptance of or payment for subcontracted work by Delaware shall not in any way relieve Vendor of responsibility for the professional and technical accuracy and adequacy of the work. All subcontractors shall adhere to all applicable provisions of this Agreement. Vendor shall be and remain liable for all damages to Delaware caused by negligent performance or non-performance of work under this Agreement by Vendor, its subcontractor or its sub-subcontractor. The compensation due shall not be affected by Delaware’s approval of the Vendor’s request to subcontract.
