Assignments of Mortgages. Upon the request of Borrower in connection with the release of any Release Property pursuant to the provisions of this Agreement, Lender agrees to cooperate, at Borrower’s sole cost and expense (including Lender’s reasonable attorneys’ fees and disbursements), to provide an assignment of the Mortgage with respect to such Release Property without representation or warranty and without recourse in lieu of the release.
Assignments of Mortgages. Recorded copies of assignments by Wachovia Bank, National Association, to the Agent of all Mortgages delivered under the Existing Credit Agreement;

Upon the request of Borrower in connection with the release of any Release Property pursuant to the provisions of this Agreement and payment of all amounts due and payable to Administrative Agent and Lenders with respect thereto pursuant to this Agreement, the other Loan Documents or the Fee Letter, Administrative Agent agrees to cooperate, at Borrower’s sole cost and expense (including Administrative Agent’s reasonable attorneys’ fees and disbursements), to provide an assignment of the Mortgage with respect to such Release Property without representation or warranty (other than that it is the holder of such Mortgage and such Mortgage is not presently assigned, pledged or otherwise encumbered) and without recourse in lieu of the release.
Assignments of Mortgages. Upon the request of Borrower in connection with the release of any Release Property or in connection with a release pursuant to the provisions of this Agreement, Lender agrees to cooperate, at Borrower’s sole cost and expense (including Lender’s reasonable actual out-of-pocket attorneys’ fees and disbursements), to provide an assignment of the Mortgage and/or assignment or partial assignment of the Note with respect to such Release Property without representation or warranty (other than that it is the holder of such Mortgage and/or Note and such Mortgage and/or Note is not presently assigned, pledged or otherwise encumbered) and without recourse in lieu of the release.
Assignments of Mortgages. At Closing, HCN shall execute and deliver to HRT assignments of the Mortgages in form and substance satisfactory to HRT (collectively, the “Assignment of Mortgage”). The Assignment of Mortgage shall be executed in multiple originals, in forms acceptable for recording in the real estate records in the county in which each Facility is located.
Assignments of Mortgages. The Administrative Agent shall have received Mortgage Assignments, each executed and delivered by a duly authorized officer of the party thereto, with respect to each parcel of Material Real Property listed in Part I of Schedule 5.19 other than with respect to a parcel of Material Real Property not subject to an Original Mortgage to the extent the Administrative Agent so agrees (any such parcel of Material Real Property to become subject to a Mortgage as soon after the Effective Date as the Administrative Agent shall reasonably require) (it being understood and agreed that certain Mortgages executed in connection with the Existing Credit Agreement are being amended in connection with this Agreement (such amendments to be in form and substance reasonably satisfactory to the Administrative Agent) and that all Mortgages delivered pursuant to the Existing Credit Agreement, and the credit agreement amended and restated by the Existing Credit Agreement, as amended, shall satisfy the requirements of this Agreement with respect to the parcels of Material Real Property subject thereto).
