Common use of Audit Confidentiality Clause in Contracts

Audit Confidentiality. Each Party shall treat all information that it receives under this Section 7.11 in accordance with the confidentiality provisions of Article 9 of this Agreement, and shall cause its accounting firm to enter into an acceptable confidentiality agreement with the other Party obligating such firm to retain all such financial information in confidence pursuant to such confidentiality agreement, except to the extent necessary for such Party to enforce its rights under this Agreement. The terms of this Section 7.11 shall apply mutatis mutandis with respect to Merck’s right to audit Sutro’s records related to those Out-of-Pocket Expenses for which Sutro seeks reimbursement hereunder.
