Audits and Records. 1. Representatives of DEO, the Chief Financial Officer of the State of Florida, the Auditor General of the State of Florida, the Florida Office of Program Policy Analysis and Government Accountability or representatives of the federal government and their duly authorized representatives shall have access to any of Contractor’s books, documents, papers, and records, including electronic storage media, as they may relate to this Contract, for the purposes of conducting audits or examinations or making excerpts or transcriptions. 2. Contractor shall maintain books, records, and documents in accordance with generally accepted accounting procedures and practices which sufficiently and properly reflect all expenditures of funds provided by DEO under this Contract. 3. Contractor will provide a financial and compliance audit to DEO, if applicable, and ensure that all related party transactions are disclosed to the auditor. 4. Contractor shall retain all Contractor records, financial records, supporting documents, statistical records, and any other documents (including electronic storage media) pertinent to this Contract for a period of five (5) state fiscal years after completion or termination of this Contract, or if an audit has been initiated and audit findings have not been resolved at the end of five (5) state fiscal years, the records shall be retained until resolution of the audit findings through litigation or otherwise. Contractor shall cooperate with DEO to facilitate the duplication and transfer of such records or documents upon request of XXX. Additional federal requirements may be identified in Attachment 1, Scope of Work. 5. Contractor shall include the aforementioned audit and record keeping requirements in all approved subcontracts and assignments.

Contractor shall transfer, at no cost to DEO, all public records upon completion or termination of the Contract, and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All electronic records shall be provided to DEO in a DEO‐compatible format. 6. Contractor shall include the aforementioned audit and record keeping requirements in all approved subcontracts and assignments. 7. Within sixty (60) days of the close of Contractor’s fiscal year, on an annual basis, Contractor shall electronically submit a completed Audit Compliance Certification (a version of this certification is attached hereto as Exhibit A) to xxxxx@xxx.xxxxxxxxx.xxx. Contractor’s timely submittal of one completed Audit Compliance Certification for each applicable fiscal year will fulfill this requirement within all agreements (e.g., contracts, grants, memorandums of understanding, memorandums of agreement, economic incentive award agreements, etc.) between DEO and Contractor.

Contractor will provide shall conduct a financial and compliance single or program-specific audit to DEO, if applicable, and ensure that in accordance with the provisions of 2 CFR Part 200if it expends $750,000 or more in Federal awards from all related party transactions are disclosed to the auditorsources during its fiscal year. 4. Contractor shall fulfill the requirements relative to auditee responsibilities as provided in Subpart F of 2 CFR Part 200. 5. If Contractor expends less than $750,000 in Federal awards in its fiscal year, an audit conducted in accordance with the provisions of 2 CFR Part 200 is not required. In the event that Contractor expends less than $750,000 in Federal awards in its fiscal year and elects to have an audit conducted in accordance with the provisions of 2 CFR Part 200, the cost of the audit must be paid from non-Federal resources (i.e., the cost of such an audit must be paid from the recipient resources obtained from other than Federal entities). 6. Contractor shall retain all Contractor records, financial records, supporting documents, statistical records, and any other documents (including electronic storage media) pertinent to this Contract for a period of five (5) state fiscal years after completion or termination of this Contract, or if an audit has been initiated and audit findings have not been resolved at the end of five (5) state fiscal years, the records shall be retained until resolution of the audit findings through litigation or otherwise.
