Common use of Authority and Bid Response Clause in Contracts

Authority and Bid Response. Supplier represents and warrants to the University that: (a) it is duly organized, validly existing, and in good standing as a corporation or other entity as represented under this Agreement under the laws and regulations of its jurisdiction of incorporation, organization, or chartering; (b) it has the full right, power, and authority to enter into this Agreement, to grant the rights and licenses granted under this Agreement, and to perform its contractual obligations; (c) the execution of this Agreement by its Representative has been duly authorized by all necessary organizational action; (d) when executed and delivered by Supplier, this Agreement will constitute the legal, valid, and binding obligation of Supplier, enforceable against Supplier in accordance with its terms; and (e) all written information furnished to the University by or for Supplier in connection with this Agreement, including Supplier’s bid response to the RFP, is true, accurate, and complete, and contains no untrue statement of material fact or omits any material fact necessary to make the information not misleading;
