Authority of the Town Sample Clauses

Authority of the Town. Nothing contained in this Agreement shall constitute or be interpreted as a repeal of existing codes or ordinances or as a waiver or abrogation of the Town's legislative, governmental, or police powers to promote and protect the health, safety and general welfare of the Town or its inhabitants; nor shall this Agreement prohibit the enactment by the Town of any fee that is of uniform or general application.

Authority of the Town. The execution, delivery and performance of this Agreement by the Town and the consummation of the transactions contemplated hereby have been duly authorized by all necessary municipal and other action on the part of the Town and no other act or proceeding on the part of the Town is necessary to approve the execution and delivery of this Agreement, the performance by the Town of its obligations hereunder or the consummation of the transactions contemplated hereby. This Agreement has been duly and validly executed and delivered by the Town and constitutes a legal, valid and binding obligation of the Town, enforceable in accordance with its terms.
