Authority to lend. The Client agrees that the Firm may use the Client’s Custody Assets for the purposes of any Securities Loan to us, to an Affiliated Company, to another client of the Firm’s, or to a third party. Where the Firm arranges a Securities Loan in respect of the Client’s Custody Assets, full title and ownership to the assets lent will be transferred to the borrower free and clear of any liens, claims, charges or encumbrances or any other interest of the Client’s or any third party. The Client will no longer have a proprietary claim to such Custody Assets and the borrower shall, accordingly, have the right to deal with them in its own right. The Client will have a right to redelivery of equivalent assets, but these will not be identical to the assets lent. For these purposes "Securities Loan" means a loan or borrowing of securities, and includes sale-and-repurchase (repo) transactions, a reverse repo, a buy/sell-back and a sell/buy back.

Authority to lend. MBOI represents and warrants that it has the authority to enter into this Loan Agreement under the laws and rules by which it is governed and that the amount loaned does not exceed Sixteen Thousand Six Hundred Sixty-Six and no/100 Dollars ($16,666) for each job expected to be created as evidenced by the Job Creation Estimate (Exhibit J). MBOI further represents and warrants that after making this Loan, the aggregate amount of infrastructure loans outstanding will not exceed Eighty Million Dollars ($80,000,000).

If the sale is restricted to an individual and not to be sold to a company, society, firm or body corporate as specified by the Developer and/or Proprietor and/or State Authorities and/or relevant bodies, the Property shall be sold to the individual person only. b. For Bumiputra lot or if the sale is restricted to Bumiputra only, only Bumiputra is allowed to purchase or to bid or to act for and on behalf of the bidder. For Malay Reserve Land or Native Land, only Malay or Native is allowed to purchase or to bid or to act for and on behalf of the bidder. For all other special quota lot, only the race identified in the special quota lot therein is allowed to purchase or to bid or to act for and on behalf of the bidder. The onus is on all intending bidders to seek the necessary confirmation from the Developer and/or relevant authorities regarding the said restrictions prior to the bidding. c. A person who has not reached the age of majority as defined under the Age of Majority Act 1971 (Act 21) or is below 18 years old or is an undischarged bankrupt or is of unsound mind or is not legally competent to purchase the Property as at the date of auction sale shall not be permitted to purchase or to bid in his/her personal capacity or to act as an agent of the principal at the auction sale. d. A foreign citizen or foreign company is only allowed to bid for the Property subject to the prevailing legal requirements, guidelines and/or existing policies and if the bid is successful, the sale is subject to the foreign citizen or foreign company applying and obtaining at his/her/its own costs the unconditional consent of the Economic Planning Unit (if any) and/or relevant State Authorities to the said sale in accordance with the terms stated below.

  • Authority to Bind Parties Neither party in the performance of any and all duties under this Agreement, except as otherwise provided in this Agreement, has any authority to bind the other to any agreements or undertakings.

However the Auctioneer may at his own discretion vary such restriction to allow non-Bumiputra Bidding Agent to participate in the auction on case to case basis. 3.4 All intending bidders shall be required to verify their identities by showing the Auctioneer their identity cards prior to the commencement of the auction, failing which they shall not be entitled to bid.
