Authorization and Notification. The parties each represent and warrant that: (a) It has full legal authority and right to enter into this Agreement and to participate in the Network; (b) It has no obligations or agreements currently, and represents that it will not enter into any obligations or agreements during this Agreement, which are inconsistent or in conflict with the execution or performance of this Agreement; (c) It has no obligation to any third party that is in conflict with, or is reasonably likely to conflict with its obligations under this Agreement; and (d) This Agreement has been duly executed and delivered by it and constitutes a valid, binding obligation enforceable against it.
