Common use of AUTHORIZATION OF ACTIONS Clause in Contracts

AUTHORIZATION OF ACTIONS. All action on the part of Purchaser necessary and sufficient to authorize the execution, delivery and performance of this Agreement and the consummation the transactions provided for herein shall have been duly and validly taken by Purchaser, and Seller shall have been furnished with a certificate of the Secretary or Assistant Secretary of Purchaser setting forth a copy of the resolution or other instrument authorizing the performance of all other transactions provided for in this Agreement.

AUTHORIZATION OF ACTIONS. All action on the part of Purchaser Seller necessary and sufficient to authorize the execution, delivery and performance of this Agreement and the consummation the transactions provided for herein shall have been duly and validly taken by PurchaserSeller, and Seller Buyer shall have been furnished with a certificate of the Secretary an officer, director or Assistant Secretary principal stockholder of Purchaser Seller setting forth a copy of the resolution or other instrument authorizing the performance of all other transactions provided for in this Agreement.

All action on the part of Purchaser Sellers necessary and sufficient to authorize the execution, delivery and performance of this Agreement and the consummation the transactions provided for herein shall have been duly and validly taken by PurchaserSellers, and Seller Purchaser shall have been furnished with a certificate of the Secretary or Assistant Secretary of Purchaser JTC setting forth a copy of the resolution or other instrument authorizing (a) the sale of the Transferred Assets and (b) the performance of all other transactions provided for in this Agreement.
