Authorization of Uncleared Swaps. With respect to each bid or offer submitted to AEGIS by such Financial Counterparty in response to a Request by a Client for an uncleared bilateral transaction that involves a Swap, the Financial Counterparty acknowledges and agrees that any such uncleared bilateral Swap entered into between such Financial Counterparty and such Client shall be either: (i) not subject to mandatory clearing under CEA Section 2(h); or (ii) expressly exempt from mandatory clearing pursuant to the Client’s election of the End-User Exception or the Hedging-Affiliate Exception to mandatory clearing.
