Authorized Users Only Sample Clauses

Authorized Users OnlyYou acknowledge and agree that only Authorized Users may access or use the Services, and only up to the number of Authorized Users specified in the Service Order. An Authorized User Account must not be shared among others. Additional Authorized Users may be added by paying the applicable fees to us at our then-current rate or as otherwise specified in a Service Order. The Authorized Users who are employees of Permitted Third Parties may access and use the Service solely to perform the Permitted Third Party’s contractual obligations to you subject to the use limitations set forth in this Agreement. As part of the registration process, you may be asked to identify your company and other Authorized Users who should be associated with your account. You will not misrepresent the identity or nature of the company or Authorized Users who should be associated with your account. We may reassign the domain name associated with your account and change the way you access the Service at any time in our sole discretion. You are responsible for maintaining the confidentiality of your login, password, and account and for all activities that occur under your login and account, including the activities of Authorized Users.
Authorized Users Only. Certain parts of the Online Services may only be available to authorized Users who have an account, username, password, activation code or any other security information (“Account Credentials”). Your access and use of such parts of the Online Services constitutes your acknowledgement that you are authorized to access the information available therein, which may include certain information regulated by data privacy laws such as the Health Insurance Portability and Accountability Act of 1996 (HIPAA). To the extent applicable, you must treat your Account Credentials as confidential, and you must not disclose such information to any third party. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Online Services using your Account Credentials. All Account Credentials remain the property of RxBenefits and may be cancelled or suspended at any time by us without any prior notice or any liability to you or any other person. In the event your Account Credentials are compromised, or upon learning of any unauthorized access to or any other breach of security with respect to your account, you agree to notify RxBenefits immediately and change your username and password.
Authorized Users Only. An Authorized User account must not be shared among users. As part of the registration process, you may be asked to identify your company and Authorized Users who should be associated with your account. You are responsible for maintaining the confidentiality of your logins and account and for all activities that occur under your logins and account, including the activities of Authorized Users.
Authorized Users OnlyThis Agreement restricts the use of the Services to the Company, those Company Users to which Company has granted access, and End Users subject to Section 2.2.
Authorized Users Only. Licensee’s access to and use of the Software are limited to, and shall not exceed, the number of users per Course specified in the Agreement. Only named, natural persons shall constitute authorized users. Assignment of and changes to any user account shall only be permissible with the consent of Licensor.
Authorized Users OnlyCustomer agrees that only up to that number of individuals for whom it has purchased the requisite licenses in accordance with this Agreement, as set forth on the applicable Order (as defined below) and as controlled by Customer’s license key, may access and use the Software (each such individual, an “Authorized User”). Customer hereby agrees it is liable for the actions of all Authorized Users and is responsible for ensuring each Authorized User complies with the terms and conditions set forth in this Agreement.
Authorized Users OnlyThis Agreement restricts Vendor’s provision of Services to Authorized Users. Customer may grant only use Authorized Users access to the Services, up to the number of users specified in the applicable Schedule C. An Authorized User account must not be shared among users. Additional Authorized Users may be added by paying the applicable fees to Vendor at Vendor’s then-current rate or as otherwise specified in a Service Order.

  • Authorized User You may request us to issue a Card to an individual who has no financial responsibility under this Agreement. An Authorized User has the same access to your Account as you do, subject to any limitations we may impose. An Authorized User has no authority to add or delete Cardholders, request a replacement Card or terminate or modify this Agreement. You may terminate an Authorized User’s authority to access your Account at any time. To do this, you must return the Card to PenFed. You agree that you are responsible for all charges and cash advances made by an Authorized User, including charges made before the Card is returned, recurring charges, or charges made without the use of the Card initiated by the Authorized User after termination of the Authorized User’s access.

  • Authorized Uses The Participating Institutions and the Authorized Users may make all use of the Licensed Materials as is consistent with the applicable law and with this Agreement, including but not limited to the following licensing conditions ("Authorized Uses"). In addition, the Licensed Materials may be used for purposes of research, education or other non-commercial use as particularly follows:

  • Authorized Use The Student Data shared pursuant to the Service Agreement, including persistent unique identifiers, shall be used for no purpose other than the Services outlined in Exhibit A or stated in the Service Agreement and/or otherwise authorized under the statutes referred to herein this DPA.

  • Unauthorized Use The Participating Institutions, or the Authorized Users shall not knowingly permit anyone other than the Authorized Users to access the Licensed Materials.

  • Breach by Authorized User An Authorized User’s breach shall not be deemed a breach of the Centralized Contract; rather, it shall be deemed a breach of the Authorized User’s performance under the terms and conditions of the Centralized Contract.

  • Authorized Disclosures The Receiving Party may disclose Confidential Information belonging to the Disclosing Party to the extent (and only to the extent) such disclosure is reasonably necessary in the following instances: (i) subject to Section 7.2, by either Party in order to comply with applicable non-patent law (including any securities law or regulation or the rules of a securities exchange) and with judicial process, if in the reasonable opinion of the Receiving Party’s counsel, such disclosure is necessary for such compliance; (ii) by either Party, in connection with prosecuting or defending litigation, making regulatory filings, and filing, prosecuting and enforcing patent applications and patents (including Bayer Patent Rights in accordance with Section 6); (iii) by Aegerion, to its Affiliates, potential and future collaborators (including Sublicensees), permitted acquirers or assignees under Section 10.1, research collaborators, subcontractors, investment bankers, investors, lenders, and their and each of Aegerion and its Affiliates’ respective directors, employees, contractors and agents; and (iv) by Bayer to its Affiliates, permitted acquirers or assignees under Section 10.1, investment bankers, investors, lenders, and their and Bayer and its Affiliates’ respective directors, employees, contractors and agents, provided that (1) with respect to Section 7.1(c)(i) or 7.1(c)(ii), where reasonably possible, the Receiving Party shall notify the Disclosing Party of the Receiving Party’s intent to make any disclosure pursuant thereto sufficiently prior to making such disclosure so as to allow the Disclosing Party adequate time to take whatever action it may deem appropriate to protect the confidentiality of the information to be disclosed, and (2) with respect to Sections 7.1(c)(iii) and 7.1(c)(iv), each of those named people and entities must be bound prior to disclosure by confidentiality and non-use restrictions at least as restrictive LICENSE AGREEMENT as those contained in this Section 7 (other than investment bankers, investors and lenders, who must be bound prior to disclosure by commercially reasonable obligations of confidentiality). In addition to the foregoing, Aegerion and its Affiliates and Sublicensees may make such disclosures of Bayer Know-How specifically concerning the Licensed Compound and its use as any of them may deem reasonably necessary for their business.

  • Customer Focus Is dedicated to meeting the expectations and requirements of internal and external customers; gets first hand customer information and uses it for improvements in products and services; acts with customers in mind; establishes and maintains effective relationships with customers and gains their trust and respect

  • The Web Services E-Verify Employer Agent agrees to, consistent with applicable laws, regulations, and policies, commit sufficient personnel and resources to meet the requirements of this MOU.

  • Authorized Sub-processors Customer agrees that MailChimp may engage Sub-processors to process Customer Data on Customer's behalf. The Sub-processors currently engaged by MailChimp and authorized by Customer are listed in Annex A.
