Common use of Background (Source Code Clause in Contracts

Background (Source Code. For the avoidance of doubt, where a Party has Access Rights to Source Code that is Background for Exploitation, such Access Rights exclude the right to sub-license to any third parties (other than Affiliated Entities). Such sub-licensing rights may, however, be negotiated between the Parties.
