Base Date. The base date for the merger provided in this Protocol and Justification is [April] [30], [2014]9 (“Base Date”).

15.2. The factor to be used for all calculations of present and future value shall be percentage changes of the Consumer Price Index of the United States of America : CPI-U, not seasonally adjusted, as it appears in the periodical Monthly Labor Review as published by the US Department of Labor, Bureau of Labor Statistics and referred to in the Agreement as the Consumer Price Index (CPI), and subject to a maximum of 5% (five percentage points) in any one year. The nominal US$ values shall be adjusted forward or backward to the Base Date, based on the percentage changes (whether up or down) in the Consumer Price Index between the Base Date and the date applicable to the nominal US$ value, and subject to a maximum of 5% (five percentage points) in any one year.
