Common use of Bicycle Parking Clause in Contracts

Bicycle Parking. Subject to the terms of this Paragraph 6(R), during the Term, Tenant shall have the right in common with other tenants and occupants of the Building, at no additional cost to Tenant (except for costs relating thereto that are permitted to be included in Operating Expenses pursuant to Article 3 hereof), to use an indoor or outdoor area at the Property in a location mutually acceptable to Landlord and Tenant (the “Bicycle Parking Area”) for purposes of parking bicycles of Tenant’s, and its permitted assignees’ and subtenants’ (i.e., as permitted under Paragraph 20 below), and their respective employees, principals, clients and invitees. Landlord shall, at Landlord’s cost, install (and thereafter maintain and repair at Landlord’s cost, subject to inclusion in Operating Expenses to the extent permitted under Paragraph 3(B) hereof) one or more bicycle racks within the Bicycle Parking Area having a reasonable number of bicycle parking spaces (based on Landlord’s reasonable estimate of the demand therefor from Tenant and the other tenants and occupants of the Building), and Tenant shall have the right to use Tenant’s Pro Rata Share of such bicycle parking spaces. Landlord shall secure the Bicycle Parking Area in a manner which Landlord in good xxxxx xxxxx appropriate (which may include the installation of a lockable fence around the Bicycle Parking Area), and if the manner in which Landlord so secures the Bicycle Parking Area requires keys for entry thereto, Landlord shall make available to Tenant one (1) key for each bicycle parking space which Tenant is permitted to use hereunder for purposes of gaining access to the Bicycle Parking Area. Each individual whom Tenant permits to use the Bicycle Parking Area shall, as a condition to his/her use of the Bicycle Parking Area, be required to enter into a commercially reasonable separate agreement with Landlord pursuant to which, among other things, such individual shall acknowledge that neither Landlord nor any other Landlord Protected Parties will have any liability, responsibility or obligation of any kind relating to such individual’s use of the Bicycle Parking Area. Landlord shall have the right to restrict any individual who has not signed any such separate agreement with Landlord from using the Bicycle Parking Area.

Bicycle Parking. Subject In connection with this Lease, Landlord shall provide bicycle parking racks for bicycle parking. Landlord may elect to provide such bicycle parking racks at the terms of this Paragraph 6(RBuilding or at the adjacent office building located at 0000 0xx Xxxxxx (the “Adjacent Building”), during which Adjacent Building is owned by an affiliate of Landlord. Landlord shall, at Landlord’s cost, install (and thereafter maintain and repair at Landlord’s cost, subject to inclusion in Operating Expenses to the extent permitted under Paragraph 3(B) hereof) one or more bicycle racks within the Bicycle Parking Area having a reasonable number of bicycle parking spaces (based on Landlord’s reasonable estimate of the demand therefor from Tenant and the other tenants and occupants of the Building and the Adjacent Building on a first-come, first-served basis. In the event that such Adjacent Building is ever no longer owned by an affiliate of Landlord, or by Landlord, then Landlord shall have no further obligation to provide any such bicycle parking at the Adjacent Building), and Tenant shall have instead provide bicycle parking racks in an area(s) of the right to use Project solely determined by Landlord, and Tenant’s Pro Rata Share use of such bicycle parking spacesracks shall be for the parking of bicycles only, and shall be in common with the other tenants and occupants of the Building on a first-come, first-served basis. The rate payable by Tenant for the use of such bicycle parking racks shall be the prevailing rate charged from time to time for other patrons of the bicycle parking racks. The bicycle parking provided to Tenant pursuant to this Section 26(cc) is provided to Tenant solely for use by Tenant’s own personnel and such use may not be transferred, assigned, subleased or otherwise alienated by Tenant without Landlord’s prior approval, which will not be withheld in connection with any sublease or assignment carried out in accordance with the provisions of this Lease. The cost of the operation, maintenance and repair of such bicycle parking area(s) shall be included in the Operating Expenses to the extent consistent the terms set forth in this Lease. Landlord shall secure use commercially reasonable efforts to provide that the Bicycle Parking Area in a manner which Landlord in good xxxxx xxxxx appropriate (which may include the installation of a lockable fence around the Bicycle Parking Area), and if the manner in which Landlord so secures the Bicycle Parking Area requires keys for entry thereto, Landlord shall make available to Tenant one (1) key for each bicycle parking space which racks will be secure, but Tenant is permitted to use hereunder for purposes of gaining access to the Bicycle Parking Area. Each individual whom Tenant permits to use the Bicycle Parking Area shall, as a condition to his/her use of the Bicycle Parking Area, be required to enter into a commercially reasonable separate agreement with Landlord pursuant to which, among other things, such individual shall acknowledge hereby acknowledges that neither Landlord nor any other Landlord Protected Parties will have any liability, responsibility or obligation of any kind relating to such individual’s use of the Bicycle Parking Area. Landlord shall have no obligation to provide guard service or other security measures for the right benefit of such bicycle parking racks. Tenant further assumes the risk that any safety and security devices, services and programs which Landlord elects, in its sole discretion, to restrict any individual who has provide may not signed any be effective, or may malfunction or be circumvented by an unauthorized third party, and Tenant shall, in addition to its other insurance obligations under this Lease, obtain its own insurance coverage to the extent Tenant desires protection against losses related to such separate agreement with Landlord from using the Bicycle Parking Areaoccurrences.

Bicycle Parking. Landlord shall have in no case be liable for personal injury or property damage for any error with regard to the right admission to restrict any individual who has not signed any such separate agreement with Landlord or exclusion from using the Bicycle Parking AreaStorage Area of any person. Upon the expiration or earlier termination of this Lease, Tenant shall have removed all bicycles belonging to its employees from the Bicycle Storage Area and Project and Tenant, at Tenant’s sole cost and expense, shall repair all damage to the Bicycle Storage Area and Project caused by the removal of Tenant’s property therefrom, and if Tenant fails to repair such damage, Landlord may undertake such repair on account of Tenant and Tenant shall pay to Landlord upon demand the cost of such repair. If Tenant fails to remove any bicycles at the expiration or earlier termination of this Lease, Landlord may dispose of said bicycles in such lawful manner as it shall determine in its sole and absolute discretion.

Bicycle Parking.
