Binding Agreement; Third Party Beneficiaries. This Second Agreement and Release is binding upon, and shall inure to the benefit of, the parties and their respective heirs, executors, administrators, successors and assigns. The Releasees are expressly intended to be third-party beneficiaries of the releases set forth herein, and this Second Agreement and Release may be enforced by each of them.

Binding Agreement; Third Party Beneficiaries. This Agreement shall be binding upon, and inure to the benefit of each of the parties and their respective successors and assigns; provided that this Agreement may not be assigned by either party other than to a successor by operation of law.
